Capital expenditures were $13.4 million. Investing cash outflows totaled $57.6 million, including $44.2 million for BlueMetal. Financing cash outflows totaled $82.7 million, including $91.8 million of share repurchases. The cash conversion cycle improved to 20 days from 24 days, although year-end operating cash flow benefited from collection of a significant receivable before the related supplier payment was made in January 2016.
Material changes versus the prior comparable period
- Reported sales growth was modest because currency weakness offset underlying growth, particularly in EMEA and APAC.
- Gross margin contracted because of a higher mix of lower-margin device sales to large enterprise and public-sector clients and lower fees from software enterprise agreements. Higher-margin services partially offset the pressure.
- Operating earnings declined despite higher sales and gross profit because of increased investment in sales and services personnel and other selling and administrative costs.
- Net earnings remained nearly unchanged, while diluted EPS increased primarily because the weighted-average share count declined following repurchases.
- Share repurchases increased to approximately 3.3 million shares for $91.8 million, compared with approximately 2.1 million shares for $50.4 million in 2014.
- Severance and restructuring expense was $4.9 million, compared with $4.4 million in 2014. A further $0.8 million non-cash impairment charge was recorded on the Bloomingdale, Illinois property held for sale, versus $4.6 million of impairment and $0.6 million of accelerated depreciation in 2014.
- Partner funding recorded as a reduction of selling and administrative expenses declined to $37.3 million from $40.1 million.
Guidance, outlook, commentary and risks
- Management expected cash flow from operations and available financing facilities to support operations, working capital and strategic investments for at least the next 12 months.
- 2016 capital expenditures were projected at approximately $10 million to $15 million. Management intended to use excess cash for share repurchases, capital expenditures, debt repayment and potential acquisitions.
- Management expected to remain in compliance with debt covenants over the following four quarters. The maximum leverage covenant was 2.75 times adjusted earnings; the company was in compliance at December 31, 2015.
- The accounts receivable securitization facility had a $200 million maximum capacity, with $89 million outstanding and qualified receivables sufficient for access to the full facility. The facility matured in June 2017.
- Management’s strategy remained focused on growing the core business, expanding services and accelerating Cloud adoption, including investment in a global Cloud management platform.
- Key risks include intense price competition and low gross margins, dependence on major technology partners and partner funding, rapid technology and Cloud-market changes, foreign currency and international operating risks, cybersecurity and IT-system disruptions, public-sector contract compliance, personnel retention, tax audits and intellectual-property claims.
- Microsoft, Cisco and Ingram Micro represented approximately 27%, 11% and 11% of 2015 purchases, respectively. Products from Microsoft, HP and Cisco represented approximately 27%, 13% and 11% of consolidated sales, respectively.
- The company had approximately $3.0 million of unrecognized tax benefits excluded from the contractual-obligations table because the timing and amount of settlement could not be reasonably estimated. Management did not expect a material effect from tax audits, but the outcome and timing remained uncertain.
- The company reported no pending or threatened legal proceedings that it believed would reasonably be expected to have a material adverse effect, although ordinary-course litigation and indemnification exposures remained possible.
Most important facts for investors to verify
- Whether the unusually high 2015 operating cash flow normalizes after considering the timing of the major receivable collection and subsequent supplier payment.
- Whether gross-margin pressure from partner-program changes, enterprise software fees and lower-margin hardware sales continues in 2016.
- Progress in converting EMEA and APAC growth initiatives toward services, Cloud and higher-margin offerings.
- BlueMetal’s contribution to services revenue, profitability and future acquisition-related goodwill or intangible-asset risks.
- Compliance with the leverage, fixed-charge and asset-coverage covenants and the refinancing or repayment plan for the $89 million ABS balance due in 2017.
- The sustainability of share repurchases, including the February 2016 authorization for up to $50 million, relative to working-capital and acquisition needs.
- Foreign exchange effects, international cash balances and the tax consequences of approximately $88.9 million of indefinitely reinvested foreign earnings.
