Public Cloud revenue rose 17% to $154 million. Support revenue increased 2% to $611 million; professional and other services revenue was $77 million. Segment gross margins were 71.1% for Hybrid Cloud and 66.9% for Public Cloud. Consolidated gross margin improved largely as lower component and freight costs lifted Hybrid Cloud product margins, despite lower revenue.

Cash, cash equivalents and short-term investments totaled $2.975 billion at July 28, compared with $3.070 billion at April 28. Net working capital was $0.9 billion. Principal debt was $2.4 billion, comprising senior notes due in 2024, 2025, 2027 and 2030; there were no commercial paper borrowings or credit-facility borrowings. Cash and short-term investments exceeded principal debt by approximately $575 million. Management said available liquidity and expected operating cash flow should meet requirements for at least 12 months.

Cash used in investing was $228 million, including $192 million net purchases of investments and $35 million of capital expenditures. Cash used in financing was $521 million, including $400 million of share repurchases and $106 million of dividends. The company repurchased approximately 5.4 million shares at an average $74.14 per share. The quarterly dividend was $0.50 per share; a further $0.50 dividend was declared August 22, payable October 25, 2023.

Material changes and management commentary

  • Lower product demand, particularly for all-flash and hybrid systems, drove the revenue decline. Management cited customer cloud optimization, tighter budget scrutiny, smaller deal sizes, longer sales cycles and deal delays.
  • Services revenue growth partly offset product weakness, including 17% growth in Public Cloud offerings.
  • Operating expenses increased to $818 million from $791 million, while expenses excluding restructuring and acquisition-related charges were $789 million, or 55% of revenue. Lower revenue contributed to operating margin contraction.
  • Q1 FY2024 included $26 million in restructuring charges, versus $11 million a year earlier. The new plan reduced the global workforce by approximately 1% and included lease terminations; workforce actions were substantially complete.
  • Operating cash flow increased year over year, supported in part by working-capital movements, including a $332 million reduction in accounts receivable. Deferred revenue and financed unearned services revenue declined $133 million, partly reflecting seasonal support renewals.
  • The prior-year quarter included a $32 million gain on the sale of a minority investment; current-quarter other income was $8 million versus $15 million a year earlier. Higher interest income partly offset the absence of that gain.

Outlook, risks and unusual items

  • No specific revenue or earnings guidance for the remainder of FY2024 is provided in the supplied filing text. Management expects capital expenditures of $125 million to $175 million for the remainder of FY2024.
  • Management warned that persistent or worsening macroeconomic uncertainty could further reduce demand. Operating cash flows may fluctuate with results, shipment timing, collections, inventory management, vendor payments and compensation or tax payment timing.
  • Approximately $0.5 billion of non-cancelable inventory purchase commitments and $0.3 billion of other purchase obligations were outstanding at quarter-end. The company recorded an $18 million liability for excess or obsolete inventory commitments.
  • Outstanding transition-tax payments were estimated at $303 million: $88 million in FY2024, $115 million in FY2025 and $100 million in FY2026. The estimates may change with tax-authority guidance or review.
  • The company was undergoing U.S. and foreign tax audits, with transfer pricing among the key issues. Gross unrecognized tax benefits were $221 million; $145 million, including related items, would affect the tax provision if recognized. The possible 12-month impact could not be estimated.
  • NetApp reported ongoing patent litigation and other legal claims. It intends to defend the claims; no material accrual was recorded. An adverse resolution could result in damages, licensing costs, redesigns or restrictions on product sales.
  • Two distributors, Arrow Electronics and TD Synnex, accounted for 24% and 21% of revenue, respectively, creating material channel concentration. The filing reported no material change to the risk factors in the prior annual report.
  • Most newly granted equity awards were subject to cash settlement unless shareholders approved sufficient additional shares under the equity plan at the September 13, 2023 annual meeting. Such awards are liability-classified and remeasured until any qualifying approval.

Important facts for investors to verify

  • Whether product demand, sales-cycle length and deal delays improve, and whether Public Cloud growth continues.
  • Whether gross-margin gains from improved supply costs persist while services costs and operating expenses remain controlled.
  • Cash conversion and working-capital trends, especially accounts receivable and deferred support revenue.
  • Near-term debt maturities, planned capital spending, repurchases, dividends and the remaining $1.002 billion repurchase authorization.
  • Developments in tax audits, transition-tax payments and patent litigation, and the outcome of the equity-plan shareholder proposal.
