Revenue increased 109%, mainly reflecting a full year of GeneSiC operations following its August 2022 acquisition; lower home-appliance unit sales partially offset growth. Cost of revenue rose 86%, slower than revenue growth, and gross margin improved. R&D increased 37% to $68.8 million; SG&A declined 21% to $61.6 million, primarily due to lower stock-based compensation. Operating expenses totaled $149.2 million, and the company remained loss-making from operations.

The shift from FY2022 net income to a FY2023 net loss largely reflects noncash fair-value movements: FY2023 included a $33.8 million loss on earnout liabilities, while FY2022 included a $121.7 million earnout-liability gain and a $51.8 million warrant-liability gain. FY2023 tax benefit was $0.5 million, versus $22.8 million in FY2022. Cash used in investing was $5.8 million, compared with $107.6 million in FY2022, when acquisitions were a major use. Financing provided $88.4 million in FY2023, primarily from the $86.5 million net proceeds of the May 2023 stock offering.

Current assets were $208.5 million and current liabilities $50.4 million at year-end. Management said cash on hand should fund operations, working capital and capital expenditures for the foreseeable future, while also expecting continued operating losses, negative operating cash flow and higher spending. Lease liabilities totaled $8.5 million; the filing reports no other non-cancellable contractual arrangements beyond leases due beyond one year.

Outlook, commentary and risks

The filing provides no quantified revenue, earnings or cash-flow guidance. Management’s stated priorities include developing successive generations of GaN and SiC products, expanding into data centers, solar and EV applications, and improving margins through technology development. Management expects R&D and operating and capital expenditures to increase as the business grows.

  • Customer and geographic concentration: Distributor A represented 45% of FY2023 revenue and 77% of year-end receivables. China accounted for 62% of revenue, up from 38% in FY2022. Orders generally lack long-term or minimum purchase commitments and may be reduced or rescheduled.
  • Supply-chain exposure: The company relies on a single wafer foundry for GaN and a separate single foundry for SiC, alongside limited sources for other materials. Manufacturing and assembly exposure is concentrated in Asia, including Taiwan and the Philippines.
  • Execution and market risks: Revenue depends on design wins, customer product launches and adoption of GaN and SiC in newer markets; design wins may take a year or more to produce meaningful sales. GeneSiC integration and realization of acquisition benefits remain risks.
  • Tax and share-based items: The company has U.S. and Ireland tax-residency exposure, a full valuation allowance on net deferred tax assets, and approximately $165 million of U.S. federal NOL carryforwards subject to potential limitations. The $46.9 million year-end earnout liability is a fair-value estimate tied to stock-price milestones.
  • Controls and contingencies: Management and the auditor concluded internal control over financial reporting was effective at December 31, 2023; previously disclosed material weaknesses were reported as remediated. The company reported no material pending legal or regulatory proceedings and no material cybersecurity incidents during FY2023.

Most important facts for investors to verify

  • Whether revenue growth can broaden beyond mobile charging and GeneSiC’s contribution, and whether lower home-appliance sales persist.
  • How customer and China concentration evolve, including Distributor A’s share of revenue and receivables.
  • Whether gross-margin improvement continues as product mix, manufacturing yields, supply costs and pricing change.
  • Cash burn and working-capital trends, particularly receivables, inventory and deferred revenue, against management’s runway assessment.
  • The potential cash, dilution and earnings effects of earnout obligations, stock compensation, future financing and the company’s tax position.
  • Progress in qualifying alternative suppliers and securing capacity, and the pace at which new-market design wins convert into production revenue.
