Olema Pharmaceuticals, Inc. — 2021 Form 10-K
Reporting period: Fiscal year ended December 31, 2021. This is an annual filing; it does not provide standalone fourth-quarter results. Olema is a clinical-stage biopharmaceutical company developing targeted therapies for women’s cancers. Its lead and only clinical-stage candidate is OP-1250, an oral estrogen-receptor antagonist/degrader for breast cancer. The company had no approved products and generated no product revenue.

At year-end 2021, cash and cash equivalents were $13.8 million and marketable securities were $273.4 million. The company reported $290.7 million of current assets and $9.0 million of current liabilities. Net cash used in investing activities was $275.4 million, primarily reflecting purchases of marketable securities and equipment, partly offset by maturities. Net cash from financing activities was $1.4 million. No operating margin is meaningful because Olema had no revenue. Stock-based compensation expense was $15.9 million.
Changes versus prior year
- Net loss increased by $49.0 million, to $71.1 million, as research and development and general and administrative expenses rose with clinical development, manufacturing, hiring, public-company costs and stock-based compensation.
- Operating cash use increased by $30.8 million. Total cash and marketable securities declined by $51.2 million; much of the movement from cash into marketable securities reflects investment activity rather than operating cash burn alone.
- The company reported $287.3 million in cash, cash equivalents and marketable securities at year-end and estimated this would fund planned operations and capital expenditures into 2024. Management cautioned that the estimate depends on assumptions and additional capital will eventually be required.
Development, outlook and material risks
- In November 2021, Olema reported interim Phase 1a results from 41 patients with advanced ER-positive/HER2-negative breast cancer. OP-1250 showed dose-proportional exposure and was generally tolerated; no maximum tolerated dose was reached. Three patients had investigator-attributed grade 4 neutropenia.
- Among 24 efficacy-evaluable patients, the reported overall response rate was 8% (2/24 confirmed partial responses) and clinical benefit rate was 29% (7/24). In the 60–120 mg dose range, reported rates were 17% (2/12) and 46% (6/13), respectively. These were interim, early-stage results from a small, heavily pretreated population and may change as data mature.
- Phase 1b dose expansion was ongoing at 60 mg and 120 mg daily. Management expected Phase 2 evaluation, planned for about 80 patients across three cohorts including patients with CNS metastases, to begin in the first half of 2022. A palbociclib combination trial began in December 2021; additional combinations and a HER2-inhibitor study were planned for 2022. A pivotal monotherapy study was expected to start in 2023.
- Olema’s claims of potential advantages over existing therapies are based partly on nonclinical studies; clinical benefit and regulatory approval are not established. The company is substantially dependent on OP-1250 and relies on third parties for clinical research and manufacturing. It had no long-term supply arrangements or redundant supply in place.
- COVID-19 had caused some earlier trial setup and site-initiation delays; management said the company’s 2021 operations and development timelines were not materially adversely affected, while future impacts remained uncertain. Other key risks include trial delays or failure, safety findings, competition, financing needs, reimbursement and pricing uncertainty, and intellectual-property challenges.
- Olema disclosed that falsified social-media material relating to its planned clinical-trial poster circulated in November 2021. The material was not authorized by the company; a board special committee, assisted by outside counsel, began an investigation in December and informed the SEC.
- The financial statements received an unqualified audit opinion, and management and the auditor concluded internal control over financial reporting was effective as of December 31, 2021. The auditor identified clinical-trial accrual estimation as a critical audit matter. No material legal proceedings were reported.
Important facts for investors to verify
- Updated OP-1250 efficacy and safety data, including duration of response, neutropenia, and outcomes by dose and patient subgroup.
- Progress and timing of the planned Phase 2, combination and pivotal trials, and any changes to stated development milestones.
- Actual cash burn and whether the projected runway into 2024 remains reasonable as trial and manufacturing spending grows.
- Manufacturing capacity, supply redundancy, and any material updates to the falsified-poster investigation.
