Stock-based compensation expense was $42 million, compared with $67 million in the prior-year quarter.
Operating cash flow was $2.162 billion, compared with $1.550 billion in Q1 2022, driven primarily by a $2.306 billion reduction in real estate inventory. Investing activities provided $30 million, while financing activities used $1.325 billion, principally from $1.446 billion of repayments of non-recourse asset-backed debt. Cash, cash equivalents and restricted cash increased by $867 million to $2.658 billion.

Material changes, outlook and unusual items
- Management described the housing market as having undergone a sharp transition, with high mortgage rates, lower affordability, reduced listings and uncertain home prices. The company is operating cautiously, using higher offer spreads, lower marketing investment and slower acquisition activity.
- Homes listed for more than 120 days represented 59% of Opendoor’s portfolio at March 31, 2023, compared with 23% for the comparable broader market. Management expected this metric to remain elevated through the first half of 2023.
- Management is expanding partnership channels, including a Zillow agreement launched in early 2023, and continuing to develop its marketplace product to reduce inventory exposure, capital intensity and macroeconomic risk.
- On April 18, 2023, after quarter-end, Opendoor announced a workforce reduction of approximately 560 employees, or 22% of its workforce. The company expects approximately $10 million of cash severance and related costs, primarily in Q2 2023, and expects more than $50 million of annualized savings.
- Q1 included $23 million of inventory valuation adjustments. The company’s non-GAAP adjusted gross profit was negative $102 million, including a $295 million adjustment for prior-period inventory valuation charges associated with homes sold in the quarter.
- The company stated that cash, marketable securities, expected operating cash generation and borrowings should be sufficient to meet working-capital and capital-expenditure needs for at least 12 months from the filing date; however, future losses and access to inventory financing remain important conditions.
Risks, contingencies and controls
Key risks include residential real estate price and transaction-volume declines, interest-rate increases, inventory aging and valuation losses, dependence on asset-backed financing, constrained access to capital, competition, regulatory and licensing requirements, technology and pricing-model performance, litigation and potential future public-health or economic disruptions. A one-percentage-point increase in applicable benchmark rates was estimated to increase annual interest expense by approximately $4 million at the March 31, 2023 debt balance.
The company is defending consolidated securities class-action litigation and related shareholder derivative litigation alleging misleading statements concerning its pricing algorithm. Plaintiffs seek unspecified damages and other relief. The filing states that the company does not believe ordinary-course legal matters will materially affect its financial condition, results or cash flows, but the ultimate exposure in the disclosed litigation is uncertain.
Management concluded that disclosure controls and procedures were effective at the reasonable-assurance level as of March 31, 2023, with no material changes in internal control over financial reporting during the quarter.
