Oportun Financial Corp. — Q3 2023 Form 10-Q
Reporting period: Quarter and nine months ended September 30, 2023. Unaudited consolidated results. Oportun is a consumer fintech focused on personal lending, credit cards, and digital banking; it reports one operating segment.
Financial performance
| Metric | Q3 2023 | Q3 2022 | Nine months 2023 | Nine months 2022 |
|---|---|---|---|---|
| Total revenue | $268.2M | $250.1M | $794.3M | $690.6M |
| Interest expense | $47.0M | $26.7M | $127.4M | $57.5M |
| Net decrease in fair value | $136.1M | $76.4M | $458.3M | $135.9M |
| Net revenue | $85.1M | $147.0M | $208.6M | $497.2M |
| Operating expenses | $122.5M | $259.3M | $404.9M | $564.6M |
| Net loss | $21.1M | $105.8M | $138.1M | $69.3M |
| GAAP loss per share, diluted | $0.55 | $3.21 | $3.80 | $2.12 |
| Adjusted EBITDA (non-GAAP) | $15.6M | $(6.2)M | $(4.5)M | $23.3M |
| Adjusted net loss (non-GAAP) | $17.6M | Adjusted income $8.4M | $103.5M | Adjusted income $64.9M |
Revenue rose 7.3% in Q3 and 15.0% for the nine-month period, but net revenue fell sharply as fair-value losses and funding costs increased. Q3 operating expenses were lower, in part because the prior-year quarter included a $108.5M goodwill impairment. Nine-month GAAP net loss more than doubled year over year. The filing’s fair-value accounting means estimated loan and debt values, realized charge-offs, and loan-sale marks can materially affect reported earnings.
Cash, debt and credit metrics
- At September 30, cash and cash equivalents were $81.9M and restricted cash was $117.8M, totaling $199.6M. Total assets were $3.43B and stockholders’ equity was $441.4M.
- Balance-sheet borrowings included $423.2M secured financing, $1.96B asset-backed notes at fair value, $244.4M asset-backed borrowings at amortized cost, and $268.1M acquisition and corporate financing. Management reported covenant compliance at quarter-end.
- Warehouse facilities totaled $720M, with $295.5M undrawn capacity. Management said existing cash, anticipated operating cash flows, and available borrowing capacity should cover anticipated operating and capital needs for at least 12 months, while noting limited unused liquid-asset sources.
- Nine-month operating cash flow was $286.5M, investing cash outflow was $189.4M, and financing cash outflow was $101.3M. Cash and restricted cash declined $4.2M from the beginning of the period.
- Q3 aggregate originations fell 23.9% to $482.7M; nine-month originations fell 40.5% to $1.38B. Members grew to 2.10M from 1.86M a year earlier.
- 30+ day delinquency was 5.5%, compared with 5.4% a year earlier. Annualized net charge-off rate rose to 11.8% for Q3 and 12.1% for the nine months, versus 9.8% and 9.0%, respectively.
Material changes, outlook and risks
- Interest expense increased 76.1% in Q3 and 121.8% year to date, primarily due to higher rates and, year to date, higher average debt. Management expects interest expense to rise as lower-rate asset-backed notes amortize and are replaced with more expensive funding.
- Management attributed rising credit losses to deterioration in older loan vintages and borrower pressure from inflation and higher living costs. It tightened underwriting, reduced marketing, and focused originations on existing and returning members; it expected older “back book” loans to have less impact on losses by the end of 2023. Fair-value volatility was expected to continue through the rest of 2023.
- Funding and valuation are significant risks: the business relies on securitizations, warehouse facilities, and loan sales; higher rates, wider spreads, weaker credit performance, or unavailable financing could pressure liquidity, margins, and originations. Fair value of loans relies on Level 3 estimates and assumptions.
- After quarter-end, Oportun announced an approximately 18% corporate workforce reduction, affecting about 185 employees, and expected $7–$8M of non-recurring pre-tax charges in Q4 2023. It also announced a review of strategic options for its credit-card portfolio, discontinuation of investing and retirement products, and sunsetting its Sezzle partnership. The company had previously announced the checking-account product sunset and closure of 32 retail locations.
- A Mexico tax authority notice received in October 2023 disputes alleged VAT underpayments for 2017–2019. No accrual was recorded; the company said a reasonably possible exposure could range from zero to $1.5M. The timing and outcome of appeals are uncertain.
- The March–June 2023 corporate-financing amendments added $75M of term loans and warrants for 4.19M shares at $0.01 per share, creating potential shareholder dilution. A new $197M structured financing facility closed October 20, 2023, after the reporting date.
No numerical financial guidance is provided in the filing excerpt. Management’s stated liquidity outlook is subject to credit performance, funding availability, interest rates, and macroeconomic conditions. Disclosure controls were assessed as effective at the reasonable-assurance level; no material change in internal control over financial reporting was reported.

- Whether cost reductions and product exits deliver sustainable savings, including the Q4 restructuring charges and any effects on operations or revenue.
