Oportun Financial Corporation — Q2 2022 Form 10-Q
Business context and period. Unaudited results for the quarter and six months ended June 30, 2022. Oportun is a consumer-lending fintech and digital banking platform; the December 2021 Digit acquisition expanded its savings, banking and investment products. The company reports one operating segment. Unless noted, dollar figures below are in millions.
Financial and operating results
| Metric | Q2 2022 | Q2 2021 | Six months 2022 | Six months 2021 |
|---|---|---|---|---|
| Total revenue | $225.8 | $138.3 | $440.5 | $273.6 |
| Net revenue, after interest expense and fair-value changes | $145.2 | $120.2 | $350.2 | $230.4 |
| Operating expenses | $157.9 | $110.4 | $305.2 | $216.7 |
| Net income (loss) | $(9.2) | $7.3 | $36.5 | $10.3 |
| Diluted EPS | $(0.28) | $0.24 | $1.10 | $0.34 |
| Adjusted EBITDA (non-GAAP) | $(4.5) | $4.5 | $29.4 | $2.2 |
| Adjusted net income (non-GAAP) | $3.8 | $17.0 | $56.5 | $29.2 |
- Q2 revenue increased 63% year over year, mainly as average daily loan principal grew to $2.58 billion from $1.60 billion; six-month revenue increased 61%. Digit subscription income contributed to higher non-interest revenue.
- Q2 net revenue rose 21%, but a $63.5 million net fair-value decrease and higher operating costs contributed to a GAAP loss. The fair-value decrease reflected loan charge-offs, higher estimated lifetime losses and discount rates, partly offset by a fair-value gain on asset-backed notes. The six-month fair-value decrease was $59.5 million.
- Operating expenses rose 43% in Q2 and 41% for the six months. Key drivers included growth investments, higher staffing and technology/cloud costs, and Digit acquisition and integration expenses ($6.9 million Q2; $14.2 million six months).
- Q2 operating expenses were 69.9% of revenue, versus 79.8% a year earlier. Adjusted operating efficiency, a non-GAAP measure, was 62.0% versus 70.0%.
Balance sheet, funding and cash flow
- At June 30, total assets were $3.35 billion, including $2.85 billion of loans receivable at fair value. Total liabilities were $2.70 billion and stockholders’ equity was $648.2 million.
- Cash and cash equivalents were $66.7 million and restricted cash $67.1 million, totaling $133.9 million, down from $193.0 million at December 31, 2021.
- Reported borrowings comprised $505.7 million secured financing, $1.94 billion asset-backed notes and $114.0 million acquisition financing. The company reported $241 million of undrawn capacity on its $750 million warehouse facilities and compliance with debt covenants.
- For the six months, operating cash flow was $91.6 million; investing cash outflow was $638.0 million, principally reflecting loan originations; financing cash inflow was $487.3 million. Net cash and restricted cash decreased $59.1 million.
- Interest expense was $17.1 million in Q2 and $30.8 million for the six months. Management said borrowing costs had begun rising with benchmark rates and wider securitization spreads.
Material changes versus comparable periods
- Aggregate originations more than doubled year over year in Q2 to $878.2 million; six-month originations rose 118% to $1.68 billion. Management cited stronger application demand and larger average loans, partly offset by tighter approvals.
- Credit indicators weakened: the 30+ day delinquency rate increased to 4.3% from 2.5%; the annualized net charge-off rate was 8.6% in Q2 versus 6.4%, and 8.6% for six months versus 7.5%.
- Managed principal balance reached $3.24 billion, compared with $1.87 billion a year earlier. Members totaled 1.82 million, but the year-over-year comparison is not directly comparable because the current metric includes Digit users.
- Oportun’s prior whole-loan sale agreement expired March 4, 2022. It completed a $400 million structured transaction in March and another loan sale in April; the latter included a $14.1 million cumulative fair-value mark.
Outlook, risks and unusual items
- The filing provides no formal revenue or earnings guidance. Management expects interest expense to increase during the rest of 2022 as borrowings fund portfolio growth and benchmark rates rise; it also expects continued fair-value volatility amid macroeconomic conditions.
- Management said charge-off rates could rise further, including as inflation affects borrowers. It had tightened underwriting and reduced loan volumes to new members during the first half of 2022.
- After quarter-end, Oportun issued $400 million of two-year asset-backed notes on July 22, priced at an 8.00% weighted-average yield (7.77% weighted-average interest rate). The filing also describes a May $400 million securitization, with Class D notes sold to third parties on July 28.
- Oportun is cooperating with a CFPB investigation into lending, collection practices and pandemic hardship treatments; it says the outcome cannot be predicted. For a separate CFPB matter involving Digit, the company reached an agreement in principle and recorded an approximately $2.8 million reserve for a civil penalty.
- Other notable items include the closure of 27 retail locations, with $2.1 million of related costs for the first half, and $1.2 million of accelerated amortization of right-of-use assets for the quarter. Management did not expect significant additional retail-closure costs.
- Key risks include rising funding costs and limited capital-market access, worsening consumer credit, valuation uncertainty in Level 3 loan fair values, dependence on securitizations and warehouse funding, regulatory and litigation exposure, and execution risks integrating Digit. Management stated that existing cash, operating cash flows and borrowing capacity should cover anticipated needs for at least 12 months, while noting that financing may not be available on acceptable terms.
Investor verification priorities
- Review loan performance and underwriting: delinquency, charge-offs, new-member mix, and whether credit tightening stabilizes losses.
- Assess fair-value sensitivity: loan valuation relies on significant estimates; the filing cites higher remaining cumulative charge-offs and discount rates as drivers of reduced loan marks.
- Track funding access and economics: warehouse availability, securitization pricing, debt costs, covenant headroom and the effect of rising rates on spreads and liquidity.
- Follow the CFPB proceedings, including the unresolved Oportun investigation and the terms and final cost of the Digit settlement.
- Evaluate Digit integration and growth investment against operating expenses, adjusted results and cash generation; treat non-GAAP measures as supplemental to GAAP results.
