Cash decreased by $106.5 million during the nine months, primarily because operating cash flow and equity proceeds were more than offset by debt repayments, dividends, treasury-stock purchases and capital expenditures.
OpenText paid $200.7 million of dividends during the nine months, or $0.75 per common share, and purchased $53.1 million of treasury stock for employee-plan settlement purposes. The board subsequently declared a further $0.25 quarterly dividend.
Debt and leverage
Total debt principal was $8.530 billion at March 31, 2024, with $8.352 billion recorded after debt discounts and issuance costs. The debt included $3.290 billion under the Acquisition Term Loan, $940 million under Term Loan B, $1.0 billion of 2027 senior secured notes and $3.3 billion of senior unsecured notes. The Revolver had no outstanding balance, compared with $275 million at June 30, 2023.
The Acquisition Term Loan carried an 8.18% interest rate and Term Loan B carried a 7.18% rate, both floating-rate obligations. The reported consolidated net leverage ratio was 3.82:1.00, versus a 4.00:1.00 covenant under Term Loan B and a 4.50:1.00 covenant under the Acquisition Term Loan.
Following the quarter, OpenText gave notice to repay $2.0 billion of debt using proceeds from the AMC divestiture: $940 million of Term Loan B and $1.06 billion of the Acquisition Term Loan. Management expected Term Loan B to be fully repaid and the Acquisition Term Loan balance to decline to approximately $2.23 billion.
Material changes versus the prior comparable period
- Reported revenue growth was driven primarily by the inclusion of Micro Focus, which contributed $564.7 million of Q3 revenue and $1.729 billion of nine-month revenue in Fiscal 2024.
- Customer support revenue increased 20.1% in the quarter and 72.3% year to date; license revenue increased 43.4% in the quarter and 113.6% year to date.
- Cloud services and subscriptions revenue grew more slowly, increasing 4.4% in the quarter and 8.6% year to date. Cloud gross margin declined to 59.0% in the quarter from 63.8%, primarily reflecting higher network and labor costs.
- GAAP operating income improved substantially, while interest expense increased to $132.7 million in Q3 from $104.5 million and to $413.7 million year to date from $183.6 million because of acquisition-related debt and higher rates.
- Special charges declined to $19.6 million in Q3 from $74.4 million, but nine-month special charges remained $87.5 million, including Micro Focus restructuring and AMC divestiture costs.
- The Micro Focus restructuring plan is expected to cost $155 million to $170 million; $133.5 million had been recorded through March 31, 2024, with completion expected by the end of Fiscal 2024.
- AMC assets of $2.120 billion and liabilities of $228.1 million were classified as held for sale at March 31, 2024. The business remained included in continuing operations for the reported periods.
Guidance, outlook, risks and unusual items
Management did not provide a specific numerical Fiscal 2024 or Fiscal 2025 revenue or earnings forecast in the provided filing text. Management emphasized “Total Growth,” recurring-revenue expansion, profitability, cloud and AI opportunities, continued R&D investment, and cash-flow growth. Year-to-date R&D expense was $688.7 million, or 15.6% of revenue.
Management expects the AMC divestiture to have no material impact on Fiscal 2024 operating results, but the accounting for the completed divestiture, including the gain or loss, was not finalized as of the filing date. OpenText will provide transition services to Rocket Software for up to 24 months.
- Interest-rate sensitivity: a 100-basis-point increase would increase annual interest expense by approximately $9.4 million on Term Loan B and $32.9 million on the Acquisition Term Loan, based on March 31 balances.
- Tax contingencies: the CRA reassessments for Fiscal 2012–2016 could result in approximately $79 million of penalties, interest and provincial taxes, assuming available tax attributes. OpenText has provisionally paid approximately $33 million and recorded no accrual for the disputed reassessments.
- CRA matters for Fiscal 2017–2019 could require a deferred-tax-asset reduction of up to approximately $470 million if the company is unsuccessful, with potential cash-tax effects over future years.
- Gross unrecognized tax benefits were $187.3 million at March 31, 2024, including $21.1 million of accrued interest and penalties.
- Cloud renewal rate, excluding Carbonite, Zix and Micro Focus, declined to 92% from 95%; customer-support renewal remained 95%.
- Risks include Micro Focus integration and restructuring, leverage and floating-rate debt, execution of the AMC divestiture, customer delays or attrition, cybersecurity and privacy matters, foreign exchange, geopolitical conflicts, macroeconomic conditions, tax audits and intellectual-property litigation.
Investor verification checklist
- Confirm post-divestiture revenue, margins, recurring-revenue growth and cash-flow trends after AMC is no longer included.
- Verify completion, amount and allocation of the planned $2.0 billion debt repayment and the resulting interest expense and leverage ratio.
- Review the final accounting for the AMC divestiture, including gain or loss, taxes, retained liabilities and transition-service obligations.
- Assess whether cloud growth and renewal rates improve after the reported decline in cloud gross margin and renewal performance.
- Monitor progress and final cost of the Micro Focus restructuring plan and evidence of expected synergies.
- Evaluate the potential financial impact and timing of the CRA reassessments and other open tax audits.
- Distinguish GAAP performance from non-GAAP results, particularly the effects of $530.7 million of nine-month amortization, $113.3 million of share-based compensation and $87.5 million of special charges.
- Review the new $250 million share-repurchase authorization against debt-reduction priorities and post-divestiture liquidity.
