Prior-year comparison figures are restated. The sharp net-income comparison largely reflects investment fair-value changes: the quarter included a $40,000 unrealized investment loss versus a $2.740 million gain in the prior-year quarter; the six-month period included a $2.593 million loss versus a $3.165 million gain.
At December 31, cash and cash equivalents were $1.289 million, investments totaled $7.312 million, working capital was $26.610 million, and total assets were $51.427 million. Cash fell $1.647 million from June 30. Accounts receivable rose to $13.169 million from $9.952 million, while inventory declined to $15.026 million from $16.167 million. Net cash used in investing was $2.009 million and net cash used in financing was $740,000 for the six months.
Balance-sheet notes payable totaled $12.074 million ($3.846 million current and $8.228 million non-current); lease liabilities totaled $1.850 million. The company had drawn $2.5 million on its $7 million revolving facility and had not drawn on its separate $3 million supplemental facility. Management said existing liquidity, receivables, operating cash flows, potential investment sales, and borrowing capacity are expected to fund operations for at least 12 months.
Changes, outlook, and key risks
- Growth was driven principally by repair revenue, up 58% in the quarter and 68% for the half, largely from next-generation handpiece upgrades for the largest customer. Management expects elevated repair revenue at least through the remainder of fiscal 2024.
- Medical-device product sales increased 2% in the quarter and 1% for the half. NRE and prototype revenue fell 30% and 62%, respectively, as billable customer projects declined. The company reported a $29.1 million backlog, with $18.9 million scheduled for delivery in fiscal 2024; bookings and delivery timing may vary.
- Operating expenses increased 36% in the quarter, led by higher R&D and G&A. G&A included higher audit and valuation fees associated with the prior-period restatement. Management expects R&D investment to increase; an ENT shaver is shown with an estimated Q4 2024 market launch and estimated annual revenue of $1 million, subject to development and commercialization risks.
- The company exercised its Monogram warrant for $1.25 million in October 2023 and received 1,828,551 Monogram shares. The shares were valued as short-term marketable equity securities at quarter-end. Public-equity holdings are exposed to significant price volatility.
- Customer concentration is substantial: the largest customer accounted for 67% of quarterly sales and 69% of six-month sales; two customers represented 87% of receivables at December 31. Supplier concentration is also disclosed. The largest customer’s supply agreement runs through calendar 2025.
- Disclosure controls were deemed ineffective due to a material weakness in valuation and disclosure of Level 3 investments in fiscal 2023 and Level 2 investments in the current quarter. Management is continuing remediation. The 2022 comparative financial statements were restated for valuation of the Monogram warrant and related tax effects.
- Management reported compliance with debt covenants at December 31, 2023, but noted no assurance of continued compliance. The filing reports no material changes to previously disclosed risk factors and no subsequent events requiring disclosure; legal proceedings may arise in the ordinary course.
