Changes, outlook, and risks
- Earnings growth was primarily driven by higher net interest income, loan growth, and higher non-interest income. Management attributed margin improvement to loan growth and recent rate increases, which more than offset higher funding costs.
- Q2 non-interest income included a $437,000 gain from selling a government-guaranteed loan portion. BOLI income also benefited from $35 million of policies purchased in 2016. Insurance performance-based commissions are generally concentrated in Q1, contributing to lower insurance income in Q2 versus Q1.
- Management targeted a full-year 2017 efficiency ratio of 62%–64%, excluding acquisition-related costs and other non-core charges, and estimated a 2017 effective tax rate of approximately 31%. The filing does not provide an earnings or revenue forecast.
- Peoples closed four branches in March 2017 and acquired a small insurance administration company in January; the acquisition was not material to reported financial results.
- Interest-rate exposure, funding costs, loan and deposit competition, economic conditions, credit deterioration, regulatory changes, cybersecurity, and acquisition integration were identified as risks. Management’s rate-shock analysis showed higher modeled net interest income in rising-rate scenarios, but also a potential decline in economic value of equity; actual results may differ, including if long-term rates move differently from short-term rates.
- Peoples expects the CECL credit-loss standard, effective for it in 2020, to materially change allowance measurement and potentially require a significant increase; the amount and overall impact had not been determined. Management reported no material expected impact from adopting several other cited accounting standards.
- Ordinary-course legal proceedings were not expected by management to have a material adverse effect. Management reported effective disclosure controls and no material change in internal control during the quarter.
Important facts for investors to verify
- Whether rapid indirect consumer loan growth is accompanied by stable delinquency, loss, and underwriting trends.
- Whether allowance coverage and net charge-offs remain adequate as the portfolio grows and CECL implementation approaches.
- How deposit mix, brokered CDs, and borrowing costs affect net interest margin and liquidity.
- Whether the full-year efficiency-ratio target is achieved, considering incentive compensation and ongoing systems expenses.
- How interest-rate movements affect securities values, funding costs, and the disclosed swap hedges; the filing notes potential hedge ineffectiveness and collateral requirements.
- Whether elevated customer deposit balances and substantial unfunded loan commitments change the company’s funding or liquidity needs.
