Balance sheet and liquidity
- At May 26, cash and cash equivalents were $22.3 million, down from $58.6 million at August 26, 2016. Current assets were $348.0 million and current liabilities $245.8 million (current ratio approximately 1.42).
- Reported debt, net of discounts and issuance costs, was $210.9 million: $13.0 million current and $197.9 million long-term. Gross principal was $234.5 million, including $212.1 million under the senior term loan and $22.4 million under Brazilian development-bank loans. No revolver borrowings were outstanding.
- Nine-month operating cash use reflected increases in receivables of $33.5 million and inventory of $31.2 million, partly offset by increases in payables and accrued liabilities. Capital expenditures were $11.2 million.
- After quarter-end, the May 30 IPO raised approximately $61.1 million net; on June 2 the company used the proceeds to repay the same amount of term-loan principal. The filing’s May 26 debt balances precede that repayment.
Changes, outlook and risks
- Management attributed sales growth mainly to stronger Brazil mobile-memory demand and specialty DRAM sales. Brazil mobile-memory volumes rose 21% for the quarter and 65% for the nine-month period; specialty DRAM benefited from higher volumes and selling prices.
- Gross margin improved on product mix and higher-margin Brazil mobile-memory and specialty DRAM revenue. Operating income increased substantially, while interest expense rose with debt-extension costs and discount amortization. Nine-month other expense included a $1.4 million debt-extinguishment loss.
- No numerical earnings or revenue guidance is provided. Management said cash and expected operating cash generation should fund operations for at least 12 months; planned investment includes Brazil capacity, R&D, manufacturing equipment and IT.
- The company faces customer and supplier concentration: four customers accounted for 35% of nine-month sales, and five suppliers supplied most raw materials. Receivables and inventory growth weighed on cash conversion.
- Other material exposures include foreign exchange (approximately 49% of nine-month sales originated in Brazilian reais; the company did not hedge currency risk), variable-rate debt, and Brazilian ICMS credits whose recovery depends on approvals and sales mix. A Brazilian import-duty dispute had assessments totaling about $4.4 million at May 26; management considered a material loss remote. Netlist patent litigation remained pending, with loss exposure not reasonably estimable.
- Management advisory fees were $1.0 million per quarter under a Silver Lake affiliate agreement, which terminated at the IPO closing. The company disclosed a full valuation allowance on U.S. net deferred tax assets and expected lease-accounting changes to have a material financial-statement impact.
Investor verification priorities
- Confirm whether the intended company is SMART Global Holdings or Penguin Solutions; the supplied filing names SMART Global Holdings.
- Review post-IPO share count, warrant exercises and dilution against the pre-IPO financial statements; the filing reports 21,677,924 shares outstanding as of June 23, 2017.
- Verify the effect of the $61.1 million term-loan repayment on remaining debt, interest expense, covenant headroom and liquidity.
- Assess receivables, inventory and operating cash flow trends, including the company’s reduced use of its receivables-purchasing facility.
- Track Brazil-related currency, tax-credit recovery and import-assessment developments, as well as customer and supplier concentration.
