Financial position, cash flow and credit

  • At September 30, total assets were $1.725 billion, loans were $1.180 billion, deposits were $1.426 billion, and stockholders’ equity was $246.1 million. From year-end 2013, assets rose 2.2%, deposits 3.3%, loans 0.3%, and equity 3.0%.
  • Available-for-sale securities increased to $350.8 million from $299.7 million at year-end, primarily reflecting purchases of Treasury securities and collateralized mortgage obligations. The portfolio’s tax-equivalent yield fell to 2.55% in Q3 from 2.77% in Q2.
  • Cash and cash equivalents were $34.2 million at September 30, down $17.1 million from year-end. For the nine months, operating activities provided $14.9 million; investing activities used $53.5 million, largely reflecting investment portfolio activity; financing activities provided $21.5 million, including a $46.9 million net increase in deposits.
  • Short-term borrowings fell to $6.5 million from $22.1 million; long-term debt was $34.0 million, down from $36.7 million. Management said liquidity was adequate and cited core deposits, portfolio cash flows, and traditional funding sources as funding resources.
  • The allowance for loan losses was $10.2 million, up from $8.7 million at year-end, or about 0.86% of loans. Nine-month net charge-offs were $1.20 million, compared with $0.40 million in 2013. Nonperforming assets declined to $13.1 million, or 1.11% of loans and foreclosed assets, from $19.5 million, or 1.65%, at year-end. Nonaccrual loans fell to $11.3 million; other real estate owned rose to $0.84 million.
  • The bank reported Tier 1 leverage of 10.24%, Tier 1 risk-based capital of 14.13%, and total risk-based capital of 14.98%, and was deemed well-capitalized. Dividends declared were $0.31 per share for the quarter and $0.93 year to date.

Changes, outlook and risks

  • Merger comparability: The November 2013 Penseco merger was accounted for as a reverse acquisition, with Penseco as the accounting acquirer. 2013 historical results therefore reflect Penseco alone, while 2014 results include the combined company. Management attributed much of the reported increases in income and balance-sheet averages to this difference; prior-year per-share data were adjusted for the merger exchange ratio.
  • Despite higher net income, nine-month diluted EPS was unchanged at $1.76. Q3 EPS increased from $0.56 to $0.70. Higher 2014 expenses included $1.73 million of acquisition-related costs year to date, as well as merger-related staffing, occupancy, systems, and conversion costs.
  • Management cited weak lending conditions, competition, and loan-system conversion work as factors limiting loan growth. Commercial real estate loans increased while commercial, residential real estate, and consumer loans declined from year-end.
  • Management described improving employment conditions but continued economic weakness in its markets. It reported a positive one-year repricing position and modeled a 1.3% increase in 12-month net interest income under an immediate parallel 100-basis-point rate increase. The filing provides no formal earnings or growth guidance.
  • Key risks include successful integration of Penseco, interest-rate changes, local economic conditions, credit quality and collateral values, competition, regulation, deposit flows, and third-party service-provider performance. Management reported no material change in market risk from year-end, no material legal proceedings, and no material change in previously disclosed risk factors.
  • Management stated disclosure controls were effective and reported no material quarterly change in internal control over financial reporting. It did not recognize other-than-temporary impairment on securities, citing its intent and ability to hold affected securities until recovery.

Important facts for investors to verify

  • Separate acquisition-driven growth from underlying operating growth when comparing 2014 with 2013.
  • Assess whether earnings and margin can be sustained as acquired-loan accretion and merger-related costs change.
  • Track the higher loan-loss provision and net charge-offs against the improvement in nonperforming assets and past-due loans.
  • Review securities portfolio duration, unrealized losses, and sensitivity to interest rates, alongside management’s modeled rate scenarios.
  • Monitor deposit mix, liquidity, commercial real estate concentration, and progress integrating the merged operations.
