Material changes and management commentary

  • Higher loan volumes drove net interest income growth, but management cited low market rates and competition as pressures on spreads and margins. Management expects continued loan growth, while anticipating less robust multifamily growth than in 2015 and a gradual shift toward a greater commercial-loan mix.
  • Management identified $1.30 million of Q1 pre-tax charges for higher FDIC premiums and risk-management analytics and practices. It estimated these reduced net income by $814,000 and diluted EPS by $0.05. About $350,000 of the risk-management expense was described as one-time; management had accelerated approximately $2.0 million of planned risk-management spending into 2016.
  • Multifamily loans were about 49% of the portfolio. Nonperforming assets increased to $8.1 million from $7.3 million at year-end; nonaccrual loans were $7.3 million and OREO was $0.9 million. No loans were over 90 days past due and still accruing. Classified loans rose to $48.8 million from $42.8 million.
  • Wealth-management assets under administration were $3.31 billion, up 8% year over year, including the acquired Wealth Management Consultants business. Management said related revenue and profitability from new personnel may lag expenses by several quarters.
  • Cash-flow hedges had a $5.15 million fair-value liability at quarter-end, compared with $1.33 million at year-end; a $2.26 million after-tax unrealized loss was recorded in other comprehensive income during Q1. Management expects the hedges to remain effective.
  • Management stated that it expects liquidity and capital to support planned growth. Interest-rate models indicated net interest income could rise 3.1% in year one under an immediate, sustained 200-basis-point increase, but decline 4.1% under a 100-basis-point decrease. These are model estimates, not forecasts.

Risks, contingencies, and other items

  • Risks highlighted include margin pressure, deposit competition and funding costs, growth execution and higher expenses, credit losses and real-estate values, multifamily concentration, interest-rate movements, liquidity, regulation, cyberattacks, and litigation or fiduciary claims.
  • Available-for-sale securities had $852,000 of gross unrealized losses, including a $641,000 loss on a below-investment-grade trust preferred security. Management considered the losses temporary and reported no other-than-temporary impairment.
  • The filing reported no pending or threatened litigation believed likely to have a material adverse effect, no material changes to previously disclosed risk factors, and effective disclosure controls.
  • A regular $0.05-per-share dividend was declared after quarter-end. The filing states a May 5, 2015 record date for the May 16, 2016 payment; that date appears inconsistent with the payment year and should be checked.

Investor verification priorities

  1. Assess whether loan growth, especially in multifamily and commercial real estate, is matched by underwriting quality, allowance adequacy, and improved credit trends.
  2. Separate recurring earnings from the $1.30 million of identified charges and monitor whether FDIC premiums, risk-management costs, and staffing expenses remain elevated.
  3. Track net interest margin, deposit pricing, reciprocal and other brokered funding, and the company’s high loans-to-deposits ratio.
  4. Review cash-flow hedge valuations and the sensitivity of earnings and economic value to changing rates; model outputs rely on assumptions.
  5. Confirm the dividend’s stated record date and monitor capital, liquidity capacity, and execution of management’s growth plans.
