Impinj, Inc. — Q3 2023 Form 10-Q

Reporting period: Quarter and nine months ended September 30, 2023. Impinj develops and sells RAIN RFID products and services, primarily endpoint ICs, systems, and related solutions, largely through partners.

Cash flow and liquidity: Cash and cash equivalents were $78.1 million and short-term investments $35.1 million at September 30, for $113.2 million combined. Working capital was $239.2 million. Operating activities used $50.8 million in the first nine months, versus $6.8 million provided in 2022. Investing activities provided $101.5 million, primarily from investment maturities and sales, partly offset by the Voyantic acquisition and capital spending. Property and equipment purchases were $16.0 million. Inventory rose to $106.8 million from $46.4 million at December 31, 2022.

Debt: The company had $287.5 million principal outstanding on 1.125% senior unsecured convertible notes due May 2027; carrying value was $281.4 million. The notes have no financial covenants. Total liabilities were $328.8 million and stockholders’ equity was $34.8 million at quarter-end.

Material changes and notable items

  • Q3 revenue declined 4.8% year over year, while nine-month revenue increased 30.7%. Q3 endpoint IC revenue fell $2.6 million, mainly from lower average selling prices and mix, partly offset by higher shipments. Nine-month endpoint IC growth was driven by higher shipment volumes, partly offset by lower ASPs. Systems revenue declined in Q3 but rose for the nine-month period.
  • Gross margin contracted 7.5 percentage points in Q3 and 4.0 points for the nine-month period. Management cited product mix, lower contribution from industrial and specialty endpoint ICs, increased systems costs, and higher Q3 excess-and-obsolescence charges.
  • Operating expenses increased, including research and development and general and administrative costs; 2023 also included amortization of acquired intangibles. Nine-month G&A included $1.7 million of Voyantic transaction costs. Q3 operating loss widened substantially.
  • On April 3, 2023, Impinj acquired Voyantic Oy for reported aggregate consideration of $32.7 million, adding RFID inlay and label test and measurement solutions. The preliminary allocation included $15.6 million of goodwill and $18.4 million of intangible assets. The acquisition’s reported revenue and net-loss impact was not material for the periods presented.
  • Q3 GAAP net loss includes significant noncash stock-based compensation: $12.3 million for the quarter and $35.7 million for the nine months. Non-GAAP measures exclude specified items; consult the filing’s reconciliations when comparing them with GAAP results.

Outlook, risks, and contingencies

  • Management expects existing cash, cash equivalents, and short-term investments to fund anticipated cash needs for at least the next 12 months under its current operating plan. It may seek additional financing if needs exceed available funds; availability and terms are not assured.
  • Management said 2023 macroeconomic softness had created demand weakness and inventory overages, which it expected to continue until wafer receipts were adjusted or demand increased. It described near-term product margins as volatile due to mix and price-change timing, while maintaining long-term investment in platform development and RAIN adoption.
  • Key risks include uneven RAIN adoption, demand and deployment timing, reliance on a limited number of customers and third-party suppliers, wafer or component constraints, excess inventory, pricing pressure, competition, and the company’s history of losses. Purchase commitments totaled $41.7 million, including $30.9 million of inventory commitments.
  • NXP litigation: A California jury awarded damages on two Impinj patent claims in July 2023, but the court later ordered a new trial on validity of one patent and directed a reduction to damages for both. The parties stipulated in October to $13.1 million of damages for the other patent. Impinj recognizes contingent gains only after all related contingencies are resolved; the filing reports no recognized gain. The court denied an injunction on that patent, and Impinj appealed. Other patent disputes with NXP remained subject to appeal or further proceedings. Management stated it had no accrued contingency liabilities at September 30.
  • Management reported effective disclosure controls at September 30, 2023, at a reasonable-assurance level. It reported no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether inventory levels normalize and demand improves, and the resulting effects on shipments, cash flow, and excess-inventory charges.
  • Whether endpoint IC ASP and product mix stabilize sufficiently to support gross-margin recovery.
  • Cash conversion and working-capital requirements, including inventory and purchase commitments, relative to management’s stated 12-month liquidity outlook.
  • Potential dilution, cash settlement, or refinancing implications of the $287.5 million convertible notes due 2027.
  • Developments in the NXP litigation, including appeals, damages, injunction requests, and any eventual recognition of contingent gains.
  • Voyantic integration and performance against the revenue and gross-margin objectives tied to up to €10 million of contingent consideration.
