Revenue grew 30.0% (29.6% on a constant-currency basis), driven mainly by Omnipod volume growth, customer additions and pharmacy-channel sales. U.S. Omnipod revenue rose 41.4% to $1,251.0 million; international Omnipod revenue rose 13.0% to $410.1 million. Drug Delivery revenue fell 37.4% to $36.0 million. The company reported one operating segment.

Gross margin improved by 6.6 percentage points. Management attributed much of the increase to the non-recurrence of a $57.9 million net charge for 2022 device corrections and an $11.5 million favorable revision to the correction liability in 2023; higher average selling prices and manufacturing efficiencies also helped. Operating cash flow included a $190.6 million working-capital cash outflow, principally from higher receivables, inventory and prepaid expenses. Cash less net debt was approximately negative $711.6 million; the filing reports a 33% net debt-to-total-capital ratio.

Material changes and unusual items

  • Operating income increased to $220.0 million from $37.6 million, and net income rose to $206.3 million from $4.6 million. The comparison reflects strong sales growth and the prior-year device-correction charge, among other factors.
  • Related-party revenue from a distributor was $473.7 million, up from $249.9 million, or about 28% of 2023 total revenue. The distributor is related through the spouse of a board member; the filing says the agreement’s terms are consistent with arm’s-length terms.
  • Three distributors each represented at least 10% of revenue; together they accounted for 71% in 2023. The three also represented 78% of year-end trade receivables.
  • Interest income increased to $28.6 million from $9.3 million, primarily due to higher interest rates. The effective tax rate was 3.9%, versus 53.4% in 2022, while a $202.9 million valuation allowance remained against net deferred tax assets.
  • The company paid $25.1 million to acquire pump-based automated insulin-delivery patent assets. It also completed construction of its Malaysia manufacturing facility and expects production to begin in 2024.

Outlook, risks and contingencies

  • For 2024, management expects strong U.S. Omnipod growth and higher international revenue, while noting that U.S. conversions to Omnipod 5 may be lower in the first half than in 2023. International growth is expected to face competition from other automated insulin-delivery systems.
  • Management expects 2024 gross margin of 68%–69%; higher selling, general and administrative and research and development spending; higher capital expenditures; and Drug Delivery revenue to decline by $18–$22 million from 2023. It cites inflation, supply-chain costs, new product launches and Malaysia ramp-up among factors affecting costs.
  • Product and market developments include FDA clearance of Omnipod GO in 2023, FDA clearance of the Omnipod 5 iPhone app in 2023 with a 2024 U.S. launch planned, and a pivotal type 2 diabetes trial for Omnipod 5. The company expected to complete the trial and submit an FDA application by the end of 2024.
  • Supply risks include dependence on a China contract manufacturer, limited or sole-source components, semiconductor availability and the operational ramp-up of the Malaysia facility. The China manufacturing agreement expires in October 2025, subject to automatic renewal unless canceled under its terms.
  • The company reported an adverse auditor opinion on internal control over financial reporting due to a material weakness in IT general controls supporting financial reporting outside North America. Management said remediation was underway; the weakness was not considered remediated at year-end. The auditor issued an unqualified opinion on the financial statements.
  • The filing describes cybersecurity, privacy, reimbursement, regulatory, product-quality, competition, foreign-exchange and customer-retention risks. It disclosed a potential wireless vulnerability in Classic Omnipod associated with unauthorized DIY use; the company stated this practice does not exist with Omnipod 5. It also disclosed 2022 voluntary medical device corrections involving DASH PDM batteries and Omnipod 5 Controller charging components.
  • The company had $800 million principal amount of 0.375% convertible notes due in September 2026, a $487.5 million term loan and a $300 million revolving credit facility with no amount outstanding at year-end. Management said liquidity should cover projected operating, investing and debt-service needs for at least 12 months. The credit agreement restricts certain transactions.
  • The 2022 Roche patent litigation was settled for a one-time $20 million payment and a license. The filing says other ordinary-course proceedings are not expected to have a material adverse effect. The Amgen supply agreement for Neulasta Onpro runs to December 2028.

Key facts for investors to verify

  • Progress, testing and remediation of the material weakness in financial-reporting IT controls, and whether controls become effective.
  • Revenue quality and concentration: distributor dependence, the related-party distributor relationship, pharmacy-channel receivables and the estimation of rebates. Rebates charged against gross sales were $465.5 million in 2023.
  • Whether 2024 revenue and margin expectations are achieved, including the effects of customer conversions, competition, product launches and the Malaysia manufacturing ramp.
  • Debt repayment and refinancing capacity, the 2026 convertible-note maturity and the effect of potential conversion or dilution.
  • Product correction costs, product safety and cybersecurity developments, and continued access to reimbursement and critical suppliers.
