Material changes versus FY2022
- Revenue rose 56%, led by Insurance segment revenue, up 152% to $305.2 million. The segment represented 71% of total revenue, compared with 44% in 2022.
- Vertical Software revenue fell 19% to $125.1 million, reflecting weaker housing activity, especially in moving. U.S. existing-home sales declined 19% year over year.
- Cost of revenue increased 105% and rose to 51% of revenue from 39%, with higher insurance claims and lower reinsurance ceding contributing. Gross margin consequently contracted.
- Policies in force declined 20% to 310,000, mainly as Porch did not renew policies expected to be unprofitable. Annualized premium per policy increased 55% to $1,884; gross written premium declined 2% to $525 million.
- Adjusted EBITDA loss improved by $5.1 million. Insurance segment Adjusted EBITDA improved to $12.3 million from a $5.5 million loss, while Vertical Software Adjusted EBITDA declined to $4.3 million from $14.7 million.
- Operating loss widened, despite a lower net loss. The net loss included an $81.4 million gain on extinguishment of debt; excluding this item and other adjustments, the company reported a $44.5 million Adjusted EBITDA loss.
Liquidity, debt and capital
At December 31, 2023, Porch reported $258.4 million of cash and $38.8 million of restricted cash. Management stated cash and cash equivalents were expected to fund operations, planned capital expenditures, working capital and debt service for at least the next 12 months. Total liabilities exceeded assets, resulting in a $35.7 million stockholders’ deficit.
Debt principal was $225.0 million on 0.75% convertible notes due 2026 and $333.3 million on 6.75% secured convertible notes due 2028. The 2028 notes’ disclosed effective interest rate was 17.9%, including discount and issuance-cost amortization. Their covenants require at least $25 million of consolidated unrestricted cash, tested monthly. If more than $30 million of 2026 notes remains outstanding on June 14, 2026, 2028-note holders may require a cash repurchase at 106.5% of principal the following day. In February 2024, after year-end, Porch repurchased $8 million principal of 2026 notes for $3 million cash.
Management commentary, outlook and risks
- Severe 2023 weather, including Texas wind, thunderstorms and hail, adversely affected Insurance segment results by approximately $26 million, net of third-party reinsurance. Porch also recorded a $55.2 million Insurance goodwill impairment and a $2.0 million Vertical Software intangible-asset impairment.
- Porch terminated a Vesttoo-arranged reinsurance contract effective July 1, 2023, after confirming alleged collateral fraud. It seized $47.6 million of available collateral, recorded a $36.0 million doubtful-account charge and obtained approximately $146.3 million of supplemental coverage by year-end. It continued pursuing claims related to a disputed $300 million letter of credit. HOA was released from Texas regulatory supervision in November 2023 and its A rating was reinstated.
- In January 2024, Aon paid Porch approximately $25 million upfront under a collaboration agreement, with further payments expected in 2025 and reinsurance brokerage-revenue sharing for 2025–2028. The agreement included a release of claims against Aon relating to Vesttoo; Porch said it retained claims against other parties.
- A Texas reciprocal insurance exchange application remained subject to regulatory approval. Management cited potential benefits including reduced exposure to claims and catastrophe risk, additional capital access and higher margins; approval, terms, timing and successful implementation are not assured.
- Management emphasized profitable insurance growth, underwriting actions and continued rollout of property-data pricing; SaaS utilization and product development; and cost control. The filing provides no numeric FY2024 revenue or earnings guidance.
- Key risks include catastrophe losses and reinsurance availability or counterparty failure; insurer surplus, ratings and regulatory constraints; housing-market weakness; persistent losses; substantial debt and refinancing needs; and privacy, cybersecurity, litigation and regulatory exposure. The TCPA litigation was at an early stage; the company said an unfavorable outcome was reasonably possible but could not estimate potential loss.
- Prior material weaknesses in internal control were reported as remediated, and management and the auditor concluded internal control over financial reporting was effective at December 31, 2023. The financial statements received an unqualified audit opinion.
Most important facts for investors to verify
- Whether operating cash generation persists without a similar working-capital benefit, and how restricted cash and insurer-held funds affect usable liquidity.
- Renewal and replacement reinsurance coverage, collateral and recoveries related to Vesttoo, and HOA’s statutory surplus and rating stability.
- Progress, regulatory terms and capital requirements for the proposed reciprocal exchange, and the resulting effects on revenue, risk and consolidation.
- Insurance loss trends, weather exposure, policy retention and the economics of higher premiums alongside the decline in policies in force.
- Debt covenant compliance and the company’s plan for 2026 and 2028 maturities, including the 2026-note condition that may trigger a 2028-note repurchase right.
- Whether Vertical Software performance improves as housing activity changes, and whether the remaining Vertical Software goodwill is subject to further impairment.
