Prothena Corporation plc — Form 10-K Summary

Business context and reporting period

This Form 10-K covers the year ended December 31, 2021. Prothena is an Ireland-based clinical-stage biotechnology company developing antibody, vaccine and other therapies targeting protein dysregulation in neurodegenerative and rare amyloid diseases. Key programs include wholly owned birtamimab for AL amyloidosis and Alzheimer’s disease programs, plus partnered prasinezumab with Roche and PRX005 with Bristol Myers Squibb (BMS). The ATTR amyloidosis business, including PRX004, was sold to Novo Nordisk in July 2021.

Revenue was largely nonrecurring: it included a $60.0 million Roche milestone for first patient dosing in the PADOVA study, $79.7 million of BMS revenue related to the PRX005 U.S. license and development services, and $60.7 million from the Novo Nordisk ATTR transaction. Operating cash flow also benefited materially from these collaboration and transaction receipts. Cash used for operating expenses, adjusted for non-cash charges, was approximately $128.6 million.

Liquidity strengthened through $78.0 million of net proceeds from a March 2021 public offering, $96.7 million from a May 2021 at-the-market offering, $15.5 million from option exercises, and the collaboration and transaction payments. Working capital was $551.4 million and total liabilities were $143.3 million at year-end. The company stated that existing cash was sufficient to meet obligations for at least the next twelve months, but additional capital will be required to fund longer-term development and potential commercialization.

Material changes versus the prior comparable period

  • Total revenue increased by $199.7 million, driven by the Roche milestone, BMS PRX005 license activity and the Novo Nordisk transaction.
  • The company moved from a $111.1 million net loss in 2020 to $67.0 million net income in 2021; this improvement was primarily transaction-driven and does not indicate recurring product profitability.
  • R&D expense increased 10% to $82.3 million, primarily due to higher spending on birtamimab, PRX005, personnel and consulting, partly offset by lower Roche cost-sharing expense after Prothena opted out of profit-and-loss sharing for prasinezumab in Parkinson’s disease.
  • G&A expense increased 20% to $46.3 million, reflecting higher personnel, legal, insurance and consulting costs.
  • Prothena sold its ATTR amyloidosis business to Novo Nordisk for $60.0 million upfront and potential development and sales milestones of up to $1.17 billion, including a $40.0 million near-term clinical milestone. No such contingent milestones were achieved in 2021.
  • BMS exercised its U.S. rights for PRX005 and paid an $80.0 million exercise fee. Prothena recognized $79.7 million of related collaboration revenue and had $25.3 million of remaining transaction consideration allocated to unsatisfied obligations at year-end.
  • Shares outstanding increased to 46.7 million at December 31, 2021, from 39.9 million at December 31, 2020, reflecting equity offerings and option exercises.

Pipeline, outlook, risks and unusual items

  • Birtamimab was advancing in the registration-enabling Phase 3 AFFIRM-AL study in newly diagnosed Mayo Stage IV AL amyloidosis patients under an FDA Special Protocol Assessment. The SPA does not guarantee approval, and the study remained subject to enrollment, safety, efficacy and execution risks.
  • Roche was conducting the Phase 2b PADOVA study of prasinezumab in early Parkinson’s disease. Earlier PASADENA results did not meet the primary endpoint, although the company reported signals on certain secondary and exploratory measures.
  • PRX005 entered Phase 1 development under the BMS collaboration. PRX012 and a dual Aβ-tau vaccine remained preclinical or late-preclinical programs.
  • Management expected 2022 revenue to decline from 2021 because the prior year included substantial nonrecurring milestones and license revenue. Management expected R&D and G&A expenses to increase in 2022 and projected full-year 2022 net cash used in operating and investing activities of approximately $120 million to $132 million.
  • Major risks include continued operating losses, reliance on additional financing, clinical-trial failure or delay, regulatory uncertainty, COVID-19 disruption, dependence on Roche, BMS and Novo Nordisk, third-party manufacturing dependence, intellectual-property challenges, competition and potential dilution from future equity issuance.
  • COVID-19 had disrupted the prasinezumab Phase 2 program and delayed initiation of sites for the AFFIRM-AL study. The filing also identifies supply-chain, enrollment, regulatory and clinical-site risks.
  • The company reported no material legal proceedings. A prior U.S. Department of Justice subpoena concerning the NEOD001 development program was fulfilled in 2019; the filing states that no further information had been requested, but the outcome or potential further action could not be predicted.
  • Contractual obligations totaled approximately $25.6 million, including $13.0 million of operating leases, $12.2 million of purchase commitments and $0.5 million under license agreements.
  • KPMG issued unqualified opinions on the financial statements and internal control over financial reporting. The critical audit matter involved estimating accrued clinical research and development costs.

Important facts for investors to verify

  • How much of future revenue will be recurring royalties or commercial profit share versus contingent milestones and license-related receipts.
  • Cash burn and runway after the projected 2022 operating and investing cash use of $120 million to $132 million.
  • Enrollment, interim analysis timing and efficacy results for AFFIRM-AL, including the practical implications of the FDA SPA and its p-value threshold.
  • PADOVA progress and whether prasinezumab produces confirmatory efficacy despite the prior PASADENA primary-endpoint miss.
  • PRX005 clinical progress, BMS’s future license and milestone decisions, and the $25.3 million of deferred BMS consideration remaining at year-end.
  • Probability and timing of the up to $1.17 billion in potential Novo Nordisk milestones and the remaining Roche milestone and royalty opportunities.
  • Potential dilution from the December 2021 at-the-market facility, which authorized sales of up to $250 million of ordinary shares, as well as outstanding options and future equity awards.
