Liquidity, debt, and cash flow
- At September 30, 2023, cash and cash equivalents were $288.1 million. Current assets were $1.277 billion and current liabilities were $1.671 billion; current liabilities included a $620.0 million ServiceMax deferred acquisition payment due in October.
- Reported debt was $1.702 billion gross ($1.696 billion net of note issuance costs), including $1.0 billion of senior notes and $702 million under the credit facility. The revolver had $384.6 million available to borrow at year-end.
- PTC paid the $650 million ServiceMax installment in October 2023, financing it with the revolver, and borrowed about $90 million equivalent to acquire pure-systems. It subsequently made $45 million of revolver repayments. The filing also reports, as of November 17, total debt of approximately $2.307 billion and €85 million, and approximately $350 million of unused credit commitments.
- Year-end revolving and term-loan rates were approximately 7.2%. Management expects substantially all FY2024 operating cash flow to go toward revolver repayment.
Material changes and unusual items
- ServiceMax was acquired for $1.448 billion net of cash acquired; it generated $137.6 million of FY2023 revenue, with immaterial earnings. The acquisition added $974.9 million of goodwill and increased amortization and financing costs.
- Interest and debt premium expense rose to $129.4 million from $54.3 million, reflecting higher debt and rates and $30 million of imputed interest on the deferred ServiceMax payment.
- The effective tax rate increased to 26% from 21%. FY2023 included $21.8 million of tax expense for an uncertain foreign transfer-pricing position and $6.3 million related to nondeductible imputed interest.
- Operating expenses increased 9%, primarily from higher compensation, including ServiceMax, and other operating costs; FY2022 had significantly higher restructuring charges.
Outlook, risks, and contingencies
Management expects FY2024 capital expenditures of approximately $20 million and believes cash, operating cash generation, and credit availability will cover working-capital and known capital needs for at least the next 12 months. The filing does not provide a clear FY2024 revenue, ARR, or earnings forecast in the text provided.
- Principal risks include competition and uncertainty around customer adoption of SaaS offerings; macroeconomic weakness among manufacturing customers; cyberattacks and reliance on third-party cloud providers; acquisition integration and returns; foreign exchange exposure; and substantial, partly variable-rate debt.
- A 100-basis-point interest-rate change was estimated to affect annual earnings and cash flow by about $7 million based on year-end borrowings. Management estimated that specified currency-rate movements could affect operating income by approximately $30 million for the euro and $6 million for the yen.
- PTC reported tax audits in several jurisdictions, including Germany, Ireland, and Italy, and $50.7 million of unrecognized tax benefits. It said up to $26 million could be reduced within 12 months as tax matters resolve.
- Management said ordinary-course legal claims were not expected to have a material adverse effect; the filing’s Legal Proceedings item reports none. The independent auditor issued unqualified opinions on the financial statements and internal control, but ServiceMax was excluded from the internal-control assessment and audit because of its recent acquisition.
Important facts for investors to verify
- How ServiceMax and pure-systems perform after acquisition, and whether expected cross-selling and growth justify the acquisition costs, goodwill, and added debt.
- Post-October borrowing, subsequent revolver repayments, current available liquidity, and progress toward reducing variable-rate debt.
- Underlying ARR and recurring-revenue growth, including organic growth excluding ServiceMax, versus reported revenue affected by acquisition timing, currency, and revenue-recognition timing.
- The outcome of the foreign transfer-pricing audit and other tax examinations, and any resulting changes to tax expense or unrecognized tax benefits.
- Customer adoption, renewal trends, and the investment required to scale SaaS offerings while maintaining margins and cybersecurity protections.
