Revenue mix shifted further toward recurring software: subscription revenue rose 81% to $118.3 million, while support revenue fell 4% to $651.8 million and perpetual-license revenue declined 39% to $173.5 million. Professional services revenue decreased 13% to $196.9 million. IoT Group revenue increased 52% to $80.3 million; Solutions Group revenue fell 12% to $1,060.2 million. License and subscription bookings were $401 million, up 16%; subscription bookings were $226 million, versus $60 million in FY2015.
At September 30, cash and cash equivalents were $277.9 million and marketable securities were $49.6 million. Total debt was $758.1 million at that date, including $500 million of 6.0% senior notes due 2024 and $258.1 million drawn on the revolving facility. The company subsequently borrowed another $60 million in November 2016; reported total debt as of November 15 was approximately $818 million. Current assets of $642.6 million were below current liabilities of $654.5 million. Cash used in investing activities was $237.2 million, including $165.8 million for acquisitions and $26.2 million for capital expenditures. Cash provided by financing activities was $51.7 million.
Fiscal 2016 fourth-quarter revenue was $288.2 million, operating loss was $33.1 million, net loss was $28.5 million and diluted loss per share was $0.25.
Material changes versus prior periods
- Total revenue fell 9% reported (7% in constant currency), primarily as subscription adoption deferred revenue recognition, alongside lower services revenue, macroeconomic weakness and currency effects.
- Recurring software revenue grew 3%, but the sharp decline in up-front perpetual-license revenue reduced total software revenue 8% and weighed on margins.
- GAAP results moved from operating income of $41.6 million and net income of $47.6 million to operating and net losses. FY2016 included $76.3 million of restructuring charges, $3.2 million of legal accrual and $3.5 million of acquisition-related costs. FY2015 included a $66.3 million pension settlement loss, $43.4 million of restructuring charges and a $28.2 million China Investigation legal accrual.
- Interest expense increased to $29.9 million from $14.7 million. The new 6% notes are expected to add about $20 million in annual interest expense versus the variable-rate debt they replaced.
- Cash from operations was broadly stable year over year, but remained below FY2014’s $304.6 million. PTC made no share repurchases in FY2016, citing subscription-transition effects on free cash flow and covenant-limited borrowing capacity.
Outlook, management commentary and risks
Management’s FY2017 priorities are sustainable growth, cost control and margin improvement, and further subscription expansion. PTC expected a significant majority of FY2017 license and subscription bookings could be subscriptions; management cautioned that the transition would continue to pressure revenue, operating margin and EPS growth until completion. The company expected no net operating expense reduction in FY2017 versus FY2016 because restructuring savings would be offset by planned costs and investment. It expected approximately $30 million of FY2017 capital expenditures and anticipated resuming share repurchases in the second half of FY2017, subject to cash availability and debt covenants. The filing does not provide a clear numeric FY2017 revenue or EPS forecast.
Key risks include uncertain customer adoption and monetization of IoT offerings, competition, manufacturing-sector and macroeconomic weakness, foreign-exchange movements, dependence on large transactions, cybersecurity and software defects, acquisition integration, and execution of the subscription transition. Debt and covenant limits constrain borrowing and shareholder returns: although $641.9 million of facility commitments were unused at September 30, only about $100 million was then available under covenant constraints; after the November borrowing, the filing said about $40 million remained available. Approximately 90% of cash and cash equivalents was held outside the United States.
Contingencies and unusual items include a Korean tax assessment of approximately $12 million, paid in October 2016 and under appeal; a securities class-action lawsuit with an agreement-in-principle to settle for an amount described as not material, subject to final court approval; and resolution in October 2016 of a China subsidiary follow-on investigation for a non-material amount. PTC also recorded substantial restructuring costs related primarily to termination benefits for 810 employees. Management reported effective disclosure controls and internal control over financial reporting; the auditor issued an unqualified opinion on the financial statements and internal controls.
Important facts for investors to verify
- Track subscription bookings, renewals and support-contract conversions against recognized revenue, margins and cash generation during the transition.
- Review debt balances, interest costs, leverage and fixed-charge covenants, and the actual borrowing capacity available under the credit facility.
- Assess whether IoT revenue growth translates into improved segment profitability; IoT Group reported an $11.4 million segment loss in FY2016.
- Confirm progress on restructuring completion, remaining charges and realized savings, as well as the timing and feasibility of planned share repurchases.
- Monitor the Korean tax appeal, final court approval and payment terms for the class-action settlement, and any further legal or regulatory developments.
