PTC THERAPEUTICS, INC. annual report, FY2022

PTC Therapeutics, Inc. — 2022 Form 10-K

Reporting period: Fiscal year ended December 31, 2022. This is an annual filing, not a quarterly report. Amounts below are U.S. dollars unless stated otherwise.

Business context and reporting period

PTC is a global biopharmaceutical company focused on rare diseases. Its marketed portfolio includes Translarna and Emflaza for Duchenne muscular dystrophy, Upstaza for AADC deficiency, and Latin American commercialization rights for Tegsedi and Waylivra. It also earns collaboration and royalty revenue from Evrysdi, commercialized by Roche. The pipeline spans gene therapy, splicing, Bio-e, metabolic and oncology programs.

  • Product revenue growth was led by Translarna, up 22% to $288.6 million, and Emflaza, up 17% to $218.3 million. New product sales, including Upstaza, Tegsedi and Waylivra, contributed to the remaining increase.
  • Research and development expense rose 20% to $651.5 million; selling, general and administrative expense rose 14% to $326.0 million. Amortization of acquired intangible assets increased to $116.6 million from $54.8 million.
  • Cash, cash equivalents and marketable securities totaled $410.7 million at year-end. Current assets were $693.8 million and current liabilities $406.2 million.
  • Long-term debt was $571.7 million. This included the Blackstone term loan and 2026 convertible notes; separately, the liability for sold future Evrysdi royalties was $757.9 million. The company repaid $152.3 million on its 2022 convertible notes at maturity.
  • Total liabilities of $2.05 billion exceeded total assets of $1.71 billion; stockholders’ deficit was $347.1 million, versus equity of $1.4 million at year-end 2021.
  • The Blackstone facility provided $300 million funded at closing, up to $150 million of committed delayed-draw borrowing, and up to $500 million of additional discretionary financing. Borrowings carry variable rates and are secured by specified assets, including intellectual property. The facility requires at least $100 million of quarterly liquidity, potentially $200 million after certain acquisitions.

Material changes versus prior year

  • Revenue increased 30%, reflecting growth in product sales and higher Evrysdi royalties; collaboration revenue declined as milestone timing differed from 2021.
  • Net loss increased by $35.1 million, while operating cash use increased by $105.3 million. Higher R&D and commercial spending, greater acquired-intangible amortization and a $33.4 million Upstaza impairment contributed to the results.
  • The company recorded a $28.5 million income tax benefit, compared with $5.6 million of tax expense in 2021, primarily reflecting amortization of an acquired intangible and release of part of a valuation allowance.
  • PTC raised $300 million of Blackstone term debt and issued $50 million of common stock to Blackstone-affiliated purchasers in 2022. It also paid a $50 million Emflaza sales milestone and a $50 million Upstaza regulatory milestone to former Agilis equityholders.

Outlook, commentary and key risks

  • Management expected cash flows, cash and marketable securities to fund operations and capital requirements for at least 12 months from the filing. It expected operating losses to continue through 2023, while anticipating lower losses than in prior periods. These are forward-looking expectations, not assurances.
  • PTC expected to submit a U.S. BLA for Upstaza in the first half of 2023. The FDA had requested additional comparability data, which PTC said it had provided. The filing notes a $20 million payment to former Agilis equityholders upon FDA acceptance of the BLA.
  • Translarna’s EEA authorization remained conditional and subject to annual review; the 2022 renewal ran through August 5, 2023 unless extended. Study 041 showed statistically significant benefit on several measures in the full intent-to-treat population, but not in the primary analysis group. The FDA had stated that Study 041 did not provide substantial evidence of effectiveness to support an NDA resubmission.
  • Expected 2023 data included PTC518’s initial Phase 2 results and results from vatiquinone trials; sepiapterin Part 2 results were expected in May 2023 after over-enrollment delayed analysis. U.S. enrollment in the PTC518 trial was paused pending further FDA data, and the DIPG unesbulin trial was expected to start in the fourth quarter of 2023.
  • Upstaza’s projected cash flows were revised, resulting in a partial $33.4 million impairment. The filing also disclosed significant contingent acquisition payments, long-term leases, and an ongoing investment program.
  • Principal risks include regulatory and reimbursement outcomes, especially for Translarna; clinical-trial and patient-enrollment uncertainty; manufacturing and third-party supply dependence; competition; pricing and access pressures; foreign-market and currency exposure; and financing, debt-covenant and dilution risks. Emflaza’s U.S. orphan exclusivity for patients five and older was expected to expire in February 2024; exclusivity for ages two to under five was expected to expire in June 2026.
  • The financial statements received an unqualified audit opinion, and the auditor reported effective internal control over financial reporting. The auditor identified Medicaid rebate estimates and acquisition-related contingent consideration valuation as critical audit matters.

Important facts for investors to verify

  • EMA and European Commission decisions on Translarna’s annual renewal and conversion to standard authorization, and the commercial consequences if authorization or the label changes.
  • FDA feedback and filing/review progress for the Upstaza BLA, including any resulting milestone payment and launch or reimbursement assumptions.
  • Evrysdi sales, royalty receipts retained after the royalty sale, and the timing and conditions for remaining sales milestones.
  • Quarterly cash burn, cash and marketable securities, Blackstone liquidity-covenant compliance, variable-rate interest costs and required reserve funding.
  • Progress and results for sepiapterin, vatiquinone, PTC518 and unesbulin, including delays, enrollment status and any changes in development plans.
  • Revenue concentration and payment timing: the United States and Russia each accounted for at least 10% of 2022 net product sales, and two distributors each exceeded 10% of net product sales.
  • Actual contingent payments, lease commitments and the basis for the Upstaza impairment and other significant fair-value estimates.
