- Q2 revenue grew 6%; product revenue rose 15%, led by secondary storage systems (+68%). Primary storage fell 41%; service and subscription revenue declined 5%, and royalties declined 17% year over year.
- Product gross margin was 10.2% in Q2, versus 24.8% a year earlier. A $6.9 million inventory reserve for obsolete inventory was the primary cause; management said it was unusual and not expected to recur near term. Excluding it, management estimated product margin was down about 3.8 percentage points, mainly due to product mix.
- Cash used in operations was $17.9 million for the six months, versus $15.3 million used a year earlier, primarily reflecting a $17.7 million decline in deferred revenue. Investing used $9.8 million, including capital expenditures and a deferred acquisition payment.
- Cash and cash equivalents were $25.7 million at September 30. Debt included a $77.2 million term loan and $21.5 million revolving-facility balance; $9.1 million remained available to borrow. Term Loan interest was 8.32%, and PNC domestic/swing-loan interest was 8.00%. The company reported compliance with debt covenants as of filing.
Material changes, outlook, and risks
- April’s rights offering issued 30 million shares at $2.25 per share, generating $66.0 million net proceeds; $20.0 million was used to prepay term debt. Common shares outstanding rose to 92.2 million at September 30 from 60.4 million at March 31.
- Backlog increased to $96.1 million at September 30 from $46.8 million at June 30. Management said the increase primarily reflected customer orders placed to secure supply, rather than currently unfulfilled orders caused by supply constraints. It expected to work down backlog toward historical pre-pandemic levels over the next three to four quarters and said constraints were not expected to significantly limit shipments against demand.
- Management cited continuing supply-chain disruption, inflation, higher interest rates, geopolitical uncertainty, and possible customer or partner cash constraints as risks to demand, costs, collections, and liquidity. It said the full impact could not be reasonably estimated. No numerical earnings or revenue guidance was provided.
- The April debt amendments revised financial covenants and waived the PNC fixed-charge coverage covenant through the quarter ending March 31, 2025. Covenant compliance and limited borrowing availability remain important liquidity considerations.
- Non-cancelable inventory purchase commitments totaled $42.6 million. The Realtime Data patent case remained stayed pending appeal; Quantum assessed material adverse effect as remote. In the Starboard litigation, claims remained pending, trial was scheduled for June 2023, and Quantum said it could not estimate possible outcomes.
