Financial position, liquidity and debt
- At December 31, cash and cash equivalents were $4.0 million, plus $0.3 million of restricted cash, versus $27.4 million and $0.7 million, respectively, at March 31, 2021.
- Current assets were $140.9 million and current liabilities were $156.1 million, a $15.2 million excess of current liabilities. Stockholders’ deficit was $122.8 million.
- Net cash used in operating activities for nine months was $26.7 million; investing used $11.8 million and financing provided $9.6 million. Operating cash use reflected working-capital needs, including inventory increases, lower deferred revenue and prepaid inventory purchases.
- Balance-sheet debt was $101.7 million net of debt issuance costs, including $3.8 million current. Gross principal outstanding was $106.3 million: a $98.75 million term loan and $7.56 million under the PNC revolving facility. The term loan matures August 2026; reported year-end rates were 6.75% on the term loan and 4.50% on the PNC facility.
- PNC borrowing-base capacity was $15.1 million, with $7.6 million available at December 31. The company said it was compliant with debt covenants at that date but was working with lenders on potential future covenant issues and liquidity needs.
Material changes and unusual items
- Gross margin fell to 36.9% in Q3 from 43.1% a year earlier. Management attributed lower product and service margins primarily to supply-chain cost increases and component constraints, which it expected to persist for the foreseeable future.
- Operating expenses rose 17% in Q3, including higher research and development and sales and marketing costs associated in part with acquisition-related headcount and investment in growth areas.
- In August 2021, Quantum replaced its prior senior secured term loan with a $100 million term loan, using proceeds in part to repay the prior loan. The refinancing generated substantial debt-extinguishment charges; for the nine months, the income statement reports a net loss on debt extinguishment of $5.0 million. The company also recorded $10.0 million of PPP loan forgiveness as a gain, offsetting some refinancing-related charges.
- Quantum acquired specified Pivot3 video-surveillance assets in July for $7.8 million of consideration, including cash and stock, and acquired EnCloudEn intellectual property and other assets in October for $2.8 million. The acquisitions expanded its video-surveillance and software offerings.
- The company exited an office location during the quarter, reducing right-of-use assets by $3.8 million and lease liabilities by $3.7 million.
Outlook, risks and contingencies
No numerical financial guidance is provided in the supplied filing text. Management reported backlog of $62 million at quarter-end, up from $50 million at the prior quarter-end and $30 million at June 30, 2021. About $50 million was tape products, mostly for hyperscale customers. Management attributed the elevated backlog to strong demand constrained by supply availability and warned that constraints could prevent it from shipping against demand or converting a meaningful portion of backlog to revenue.
Other notable exposures include $66.3 million of non-cancelable inventory purchase commitments, which could require payments for excess or obsolete materials if forecasts change; substantial liquidity and debt-covenant risks; and COVID-19-related supply, customer-demand and cost uncertainty. A Delaware action brought by Starboard against Quantum and former directors has remaining claims following a January 2022 ruling; Quantum said it could not estimate possible outcomes. A separate patent case brought by Realtime Data remains stayed pending an appeal, and Quantum considers a material adverse effect remote. The company disclosed $109.2 million of unrecognized tax benefits, including interest and penalties.
Important facts for investors to verify
- Whether supply constraints ease, and how much of the $62 million backlog ships and is recognized as revenue.
- Cash-burn trends, available borrowing capacity, covenant headroom and any developments in discussions with lenders.
- Whether margin pressure from component costs persists and whether pricing or other actions offset it.
- Integration, costs and revenue contribution from the Pivot3 and EnCloudEn acquisitions.
- Developments and potential financial exposure in the Starboard litigation and Realtime Data patent appeal.
