Financial performance

MetricQ1 FY2024Prior-year quarter
Revenue$651.2 million$1,035.4 million
Gross profit / gross margin$229.1 million / 35.2%$375.3 million / 36.2%
Operating income (loss) / margin$(48.1) million / (7.4)%$101.9 million / 9.8%
Net income (loss)$(43.6) million$68.9 million
Diluted EPS$(0.44)$0.65
Operating cash flow$44.9 million$273.0 million
Capital expenditures$39.5 million$43.5 million

Revenue fell 37.1% year over year. Management attributed the decline to weaker macroeconomic demand across smartphones and other markets, including Wi-Fi, cellular infrastructure and power management, as well as channel-inventory reductions. Gross margin declined due to factory underutilization, restructuring charges and average selling price erosion. Operating expenses were $277.2 million, versus $273.4 million a year earlier.

Segment revenue and operating results: ACG revenue was $412.2 million, down 38.7%, with operating income of $45.0 million; HPA revenue was $139.7 million, down 33.8%, with operating income of $24.0 million; CSG revenue was $99.3 million, down 34.8%, and posted an operating loss of $20.2 million. Segment results were pressured by lower demand; CSG also cited underutilization and price erosion.

Balance sheet, liquidity and capital allocation

  • At July 1, 2023, cash and cash equivalents were $744.4 million; working capital was approximately $1.449 billion. Cash was down from $808.8 million at April 1, 2023.
  • Total debt was approximately $2.048 billion, principally senior notes of $500 million due 2024, $850 million due 2029 and $700 million due 2031. Interest expense was $17.3 million.
  • Cash used in investing activities was $3.9 million, including $41.7 million of property-and-equipment sale proceeds. Cash used in financing activities was $105.2 million, primarily reflecting share repurchases.
  • Qorvo repurchased about 1.0 million shares for approximately $100.6 million during the quarter; $1.605 billion remained under its $2.0 billion authorization.
  • Capital commitments were approximately $74.7 million. Management said existing cash, expected operating cash flow and the revolving facility were sufficient for short- and long-term needs, while cautioning that a significant demand decline or faster-than-anticipated growth could strain operating cash flow.

Material changes, outlook and risks

The year-over-year deterioration was broad-based: revenue fell in all three segments and Qorvo moved from operating and net income to losses. Operating cash flow also declined substantially, primarily due to lower profitability. The prior-year quarter included a $110.0 million charge for purchase shortfalls under a long-term foundry capacity agreement; no such charge was recorded in the current quarter. The current quarter included $22.7 million of restructuring charges, mainly contract termination and other costs. Most remaining restructuring obligations were expected to be paid within twelve months; management did not expect further material charges from the 2023 initiatives.

On June 23, 2023, Qorvo amended its credit agreement, raising the maximum consolidated leverage ratio to 4.00-to-1.00 for the quarters ended July 1 and ending September 30, 2023, and to 3.50-to-1.00 for the quarters ending December 30, 2023 and March 30, 2024. Qorvo reported covenant compliance at quarter-end and no revolving-facility borrowings during the quarter. No specific revenue or earnings guidance is provided in the filing text.

Key stated risks include continued weak end-market demand and channel inventory reductions; customer concentration and dependence on product development and design wins; manufacturing underutilization, yields and supplier commitments; competition and pricing pressure; China and trade-policy risks; debt service and covenant constraints; foreign-currency, tax and regulatory exposures; and cybersecurity and intellectual-property risks. Management said pending legal matters were not expected to have a material adverse effect and that reasonably possible losses beyond accruals were not material.

Important facts for investors to verify

  • Whether demand and channel-inventory conditions improve, particularly in smartphones, Wi-Fi and cellular infrastructure.
  • Whether factory utilization, pricing and gross margins recover, and how segment profitability develops—especially CSG.
  • Progress against the amended leverage-ratio limits and the company’s ability to address the $500 million notes due in December 2024.
  • Cash conversion, inventory levels, restructuring cash payments and the use of the remaining share-repurchase authorization.
  • Whether the $74.7 million of capital commitments and supplier obligations remain aligned with demand and available liquidity.
