Business context and reporting period. This unaudited U.S. GAAP report covers the quarter and six months ended June 30, 2021. uniQure is a gene-therapy developer; its lead hemophilia B candidate, etranacogene dezaparvovec, was licensed to CSL Behring when the agreement became effective on May 6, 2021. Amounts below are in U.S. dollars.

  • Revenue and margin: Q2 and first-half revenue included $462.4 million recognized for the CSL Behring license sale: the $450.0 million upfront payment plus $12.4 million for additional covenants. Cost of contract revenue was $23.2 million, including $16.7 million owed to licensors and $6.5 million of other external costs. No revenue was recognized for CSL manufacturing-development milestones; future regulatory and sales milestones and royalties remain contingent.
  • Operating costs: First-half R&D rose 19% to $64.8 million, and SG&A rose 47% to $30.3 million year over year. In Q2, R&D was $32.7 million and SG&A was $17.3 million. The filing attributes increases mainly to staffing, share-based compensation, facility and program costs, and CSL transaction advisory fees.
  • Cash flow: First-half operating cash flow was $375.2 million, versus cash used of $62.9 million in 2020, chiefly reflecting the CSL transaction revenue and related working-capital movements. Investing used $6.2 million; financing generated $65.1 million, including $34.6 million net Hercules loan proceeds and $29.6 million net ATM proceeds.
  • Liquidity and debt: June 30 cash and cash equivalents were $677.3 million; cash, cash equivalents and restricted cash totaled $680.2 million. Current assets were $694.2 million and current liabilities $46.1 million. Long-term debt on the balance sheet was $70.8 million; principal outstanding was $70.0 million, due June 2023, subject to extension options. The company reported compliance with debt covenants.
  • Other metrics: Total assets were $784.3 million, total liabilities $150.7 million, and shareholders’ equity $633.6 million. The accumulated deficit was $426.8 million. Income tax expense was $3.5 million for the first half.

Material changes versus the prior comparable period

  • The CSL Behring license closing drove the sharp increase in revenue and the first reported quarterly and half-year net income. Management cautions that profitability reflects this transaction and expects significant ongoing expenses and losses.
  • Cash and cash equivalents increased from $244.9 million at year-end 2020 to $677.3 million at June 30, 2021. Debt principal increased from $35.0 million to $70.0 million after a $35.0 million Hercules draw.
  • Research and development spending increased, while direct hemophilia B program costs declined as CSL assumed development responsibility after closing; costs for AMT-130 and preclinical programs increased.
  • Foreign-currency gains were $11.2 million for the first half, compared with $1.0 million in the prior-year period, contributing to non-operating results.

Outlook, commentary, risks and unusual items

  • Runway: Management expects June 30 cash to fund operations into the first half of 2024, assuming full repayment of Hercules debt by 2023 and the expected Corlieve acquisition payments. Achievement of approximately $0.3 billion in CSL regulatory, first-commercial-sale and development milestones could extend runway by a further 12–18 months. These are estimates dependent on events and spending.
  • Programs: Management expected HOPE-B participants to complete 78-week follow-up by Q3 2021 and planned BLA and MAA submissions in Q1 2022. Reported 52-week HOPE-B data included mean FIX activity of 41.5% of normal and an 80% reduction in treated bleeding rate. AMT-130 U.S. dosing continued; a European Phase Ib/II study was expected to begin enrolling in the second half of 2021.
  • Corlieve: The announced acquisition was expected to close early in Q3 2021, subject to customary conditions and French review. Expected upfront cash consideration was €46.3 million, with up to €203.7 million in potential development and approval milestones; up to 25% of milestones could be paid in shares at uniQure’s election. The filing describes this as a subsequent event, not a completed acquisition as of June 30.
  • Development and operating risks: Candidates remain investigational and may fail or be delayed in clinical development, manufacturing validation, regulatory review or commercialization. COVID-19 had caused increased equipment and disposable lead times and had affected clinical-trial procedures; future impacts remained uncertain. Manufacturing scale-up, cGMP compliance, patient enrollment, reimbursement, and dependence on collaborators are material risks.
  • Safety and intellectual property: The FDA removed the clinical hold on the hemophilia B program in April 2021 after reviewing the company’s investigation of a preliminary HCC diagnosis in a HOPE-B participant; the company said it was highly unlikely the cancer was caused by the therapy. Pfizer filed inter partes review petitions in May challenging two Factor IX Padua-related patents; uniQure said it was responding.
  • Unusual items and contingencies: Other income included a $3.0 million value attributed to VectorY shares received in an April settlement and a $1.3 million U.S. employee retention credit. A BMS change-of-control derivative liability was valued at $2.6 million; no change in fair value was recorded in the first half. The company disclosed contractual milestone obligations whose timing and amounts were not fixed and therefore were excluded from its contractual-obligations table.
  • Guidance: No conventional revenue or earnings guidance was provided. The filing states that expenses are expected to rise as uniQure advances its pipeline, expands staffing and manufacturing, and invests in intellectual property and technology.

Investor verification priorities

  • Confirm the timing and conditions for CSL milestones, manufacturing-development payments, royalties and product supply, and distinguish contingent proceeds from cash already received.
  • Track actual cash burn against the stated first-half 2024 runway, including Hercules repayment, Corlieve consideration and continued pipeline and facility spending.
  • Verify HOPE-B follow-up completion and the planned Q1 2022 regulatory submission timetable, including manufacturing-validation progress and any further regulatory updates.
  • Check Corlieve closing status, cash paid and any resulting accounting or share issuance, alongside its milestone obligations and REGENXBIO license economics.
  • Monitor outcomes of Pfizer’s patent challenges, the HCC safety follow-up, COVID-related operational disruption, and compliance with Hercules covenants.
