Material changes and notable items

  • Sales fell modestly, but gross profit declined about $0.62 million. Management cited lower contract-manufacturing sales and approximately $0.3 million of value-added taxes associated with the Wanbang license payment.
  • SG&A decreased to $4.99 million from $5.33 million, mainly reflecting lower non-cash equity compensation. Research and product development expense increased to $1.31 million from $0.80 million for work on additional indications and regulatory approvals.
  • Rockwell received a $4 million upfront payment under its February 2016 Wanbang agreement to license and supply Triferic and Calcitriol in China. The upfront fee is deferred and recognized over the agreement term; further regulatory and revenue milestones could total up to $35 million, with product-sale earnings also possible.
  • Most revenue continued to come from dialysis concentrates. Domestic concentrate revenue increased $0.3 million, international concentrate revenue decreased $0.1 million, and third-party contract-manufacturing sales decreased $0.5 million year over year.

Outlook, risks and contingencies

  • No formal financial forecast was provided. Management said it expected adequate resources for planned inventory, receivables, and research spending, and anticipated positive operating cash flow as drug sales increase.
  • Management expected Triferic sales to remain insignificant until transitional add-on Medicare reimbursement is obtained or the effort to obtain it ends. Approval and timing of that reimbursement were uncertain.
  • After quarter-end, FDA approved Triferic Powder Packet on April 25, 2016; management said the format should reduce production and distribution costs. On May 4, Rockwell disclosed a stability issue involving an inactive ingredient in Calcitriol product made by a contract manufacturer. It expected marketing to begin after the issue was resolved, then anticipated in Q3 2016.
  • Rockwell was evaluating expansion of concentrate operations in the western U.S. Baxter could fund eligible construction with $5 million at commencement and up to a further $5 million on completion. Baxter’s exclusivity depends on growth targets; termination, loss of exclusivity, or potential repayment of fees are identified risks.
  • Key risks include drug commercialization and regulatory execution, reliance on contract manufacturers and suppliers, reimbursement and health-care policy, customer concentration and competition in concentrates, raw-material costs, and the Baxter relationship. Short-duration bond funds were exposed to interest-rate-driven market-value changes; management did not consider them other-than-temporarily impaired. Disclosure controls were judged effective at a reasonable-assurance level, and no material control changes were reported.

Important facts for investors to verify

  • Progress and timing of Medicare add-on reimbursement for Triferic, and whether commercial adoption develops.
  • Resolution of the Calcitriol stability issue, actual launch timing, and any financial or supply impact.
  • Whether the Wanbang agreement produces regulatory approvals, milestone payments, and commercial sales; milestone amounts are contingent.
  • Concentrate volumes, margins, and Baxter’s performance against exclusivity targets, including any western U.S. expansion plans.
  • Cash burn and working-capital needs as drug inventory, receivables, research spending, and commercialization activity change.
