Rockwell Medical, Inc. — FY 2015 Form 10-K
Reporting period: Fiscal year ended December 31, 2015. This is an annual filing, not a standalone fourth-quarter report. Rockwell is a renal-focused biopharmaceutical company whose established hemodialysis concentrate business generated nearly all 2015 revenue; it began selling its FDA-approved drug Triferic in September 2015.

Cash plus investments totaled approximately $70.68 million at year-end, down from $85.73 million a year earlier. Inventory rose $3.95 million to $7.87 million, largely as the company prepared for product launches. Capital expenditures were $0.82 million. The company reported no income tax expense or benefit and maintained a full valuation allowance against deferred tax assets.
Changes and operating developments
- Sales increased 2.1%. Domestic concentrate sales rose 4.2%; international concentrate sales rose 1.3%. Triferic contributed $0.2 million of sales. Contract-manufacturing revenue fell $1.0 million after work for a non-hemodialysis customer ceased.
- Gross profit increased 4.6%, and gross margin improved by 0.3 percentage points. Recognition of Baxter-related deferred license revenue contributed $2.1 million in 2015 versus $0.5 million in 2014; lower distributor prices on accounts transferred to Baxter partly offset the benefit.
- SG&A increased to $19.08 million from $18.32 million, including higher Triferic marketing costs. Research and product development declined to $4.96 million from $7.78 million following completion of major clinical and regulatory work.
- Net loss narrowed by $6.91 million. The improvement reflected lower R&D spending and the absence of interest expense after repayment of debt in 2014. The company recorded $0.68 million of net interest and investment income in 2015.
- Fourth-quarter 2015 sales were $14.13 million and net loss was $5.77 million, compared with fourth-quarter 2014 sales of $14.45 million and net loss of $6.38 million.
Outlook, risks, and notable items
- Management said it had adequate capital resources, expected to invest in inventory, receivables, research and product development in 2016, and expected positive operating cash flow with increased drug sales. No specific revenue, earnings, or cash-flow guidance was provided.
- Triferic adoption remained early: sales were not material in 2015, and the company said provider pilot programs were expected to inform future adoption. Commercial success depends on acceptance by a concentrated set of dialysis providers, competition with established IV iron, reimbursement economics, and continued regulatory and manufacturing compliance.
- Calcitriol had FDA approval, but marketing depended on obtaining adequate contract-manufactured inventory. Supply availability and launch timing remained uncertainties.
- Baxter held exclusive distribution rights for U.S. and certain international concentrate products under an initial 10-year agreement. The arrangement provides for minimum purchase levels and includes termination and potential fee-refund provisions. Baxter-related deferred license revenue was $17.41 million at year-end. The company identified significant customer concentration: DaVita accounted for 48% of sales in 2015, and sales to Baxter were approximately 36%.
- In February 2016, after year-end, Rockwell entered an exclusive China licensing and supply agreement with Wanbang for Triferic and Calcitriol. Consideration may total $39 million, including $4 million received in February 2016 and up to $35 million in future regulatory and revenue milestones, plus ongoing product-sale earnings. Wanbang bears specified China development, regulatory, and marketing costs.
- Rockwell was evaluating a western U.S. manufacturing expansion. Baxter had agreed to provide up to $10 million toward the facility, subject to construction and completion terms. The filing does not state that construction had begun.
- Other risks include continued cash burn before drug commercialization scales, reliance on contract manufacturers, reimbursement and pricing pressure, interest-rate exposure on short-term bond funds, and dilution from equity awards. Management and the auditor reported effective internal controls; the financial-statement audit opinion was unqualified. Pending legal proceedings were not expected to have a material effect.
Key facts for investors to verify
- Whether Triferic pilots convert into sustained adoption, meaningful sales, and improved unit economics.
- Whether Calcitriol supply is secured and its commercial launch proceeds as planned.
- How Baxter’s purchase volumes, exclusivity, pricing, deferred revenue recognition, and any refund exposure develop.
- Whether the Wanbang agreement achieves regulatory, revenue, and purchase milestones beyond the $4 million received.
- Cash and investment levels, operating cash burn, inventory growth, and progress toward management’s expectation of positive operating cash flow.
- Progress and funding terms for any western U.S. facility expansion, and potential dilution from outstanding options and restricted shares.
