RenovoRx, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. The filing was signed April 1, 2024. RenovoRx is a clinical-stage biopharmaceutical company developing targeted cancer therapies; it has no approved drug-device combination product and has not generated product-sales revenue.
Business context and development
The lead candidate, RenovoGem, combines intra-arterial gemcitabine with the company’s RenovoCath catheter and Trans-Arterial Micro-Perfusion (TAMP) platform. Its Phase III TIGeR-PaC trial evaluates treatment for locally advanced pancreatic cancer (LAPC) following radiation, compared with standard systemic gemcitabine and nab-paclitaxel. RenovoGem has FDA Orphan Drug Designations for pancreatic cancer and cholangiocarcinoma; designation is not approval.
The company also plans a Phase II/III study in extrahepatic cholangiocarcinoma (eCCA), with a protocol incorporating durvalumab being finalized after FDA feedback. A collaboration with Imugene announced in 2023 will explore TAMP delivery of Imugene’s CF33 oncolytic virus.

Margins are not meaningful because the company reported no product revenue. Research and development expense rose 32%, principally from increased Phase III clinical activity, site costs, enrollment and clinical consultants. General and administrative expense was broadly flat. Net loss increased about 3.5%; the 2023 result included a $1.709 million non-cash gain from a decrease in warrant-liability fair value, partly offset by $0.653 million of allocated offering costs.
Cash used in investing activities was $2.032 million provided in 2023, primarily from Treasury-bill proceeds; financing activities provided $5.008 million, mainly from the April 2023 registered direct offering. The company reported no short-term marketable securities at year-end. Current liabilities were $1.175 million, and the $3.291 million warrant liability was classified separately. No material debt balance is shown on the year-end balance sheet; the filing describes historical use of convertible debt financing.
Material changes, financing and liquidity
- Accumulated deficit reached $41.405 million. The auditor’s report and management state that substantial doubt exists about the company’s ability to continue as a going concern.
- Management said year-end resources alone were not expected to fund operations for at least twelve months. After a January 26, 2024 private placement raising $6.1 million gross (reported net proceeds of approximately $5.5 million), management estimated available resources could fund operations through Q4 2024, assuming programs proceed as planned. The company has no credit facility or committed capital source.
- The January financing issued 6,133,414 common shares and warrants for an additional 6,133,414 shares, plus placement-agent warrants. This creates substantial potential dilution. The filing reports 16,865,975 shares outstanding as of March 25, 2024.
- Nasdaq notified the company that it failed the minimum stockholders’ equity requirement and initiated delisting proceedings. The company requested a hearing scheduled for April 23, 2024; the hearing request stayed delisting action pending the panel process.
Outlook, risks and unusual items
- In the first TIGeR-PaC interim analysis, 45 patients had been randomized: median overall survival was reported as 16 months for RenovoGem (23 patients) versus 10 months for control (22 patients). The comparison excluded approximately 4–5 months during induction. The reported survival trend did not reach the stopping threshold for statistical significance (p=0.051); the independent monitoring committee recommended continuing the trial. Interim results are not final and may change.
- The amended TIGeR-PaC design targets 114 randomized SBRT patients and 86 deaths for final analysis. FDA feedback on the modified statistical analysis plan was received in August 2023, and the company planned to submit a revised plan and protocol amendment. The second interim analysis was expected after the 52nd death, estimated in late 2024; final readout was projected for 2026. Timing and FDA acceptance remain uncertain.
- Management expects research and development expense to remain around current levels in the near term and said it expects lower general and administrative expense in the next fiscal year. The company expects continued operating losses and no product revenue for several years, if ever.
- Key risks include dependence on further financing, clinical and regulatory uncertainty, protocol changes and enrollment, reliance on a single-source RenovoCath manufacturer, competition, reimbursement uncertainty, and potential dilution. Five material weaknesses in internal control themes are described, including insufficient accounting expertise and staffing, inadequate formal policies and review controls, segregation-of-duties gaps, and IT access-control deficiencies. Disclosure controls were deemed ineffective; management is working on remediation.
- Prior RR1/RR2 survival observations, including longer survival among some radiation-pretreated patients, were from small, non-randomized or observational cohorts and did not prospectively control prior standard-of-care treatment. They should not be treated as confirmatory efficacy evidence.
Important facts for investors to verify
- Cash available after the January 2024 financing, actual burn rate, and whether further capital will be needed before the stated Q4 2024 runway.
- Outcome of the Nasdaq hearing and the company’s compliance with the minimum stockholders’ equity requirement.
- FDA’s response to the revised TIGeR-PaC statistical plan and protocol, and the timing and results of the next interim and final analyses.
- Whether eCCA trial launch plans, including incorporation of durvalumab, proceed as anticipated and are adequately funded.
- Progress in remediating internal-control material weaknesses and any subsequent changes to reported financial information or controls.
- Potential dilution from outstanding warrants and the January 2024 financing, as well as commercial manufacturing and reimbursement readiness if RenovoGem is approved.
