- Quarterly platform revenue rose 15%, driven mainly by advertising and content distribution services. Platform gross profit was $374.2 million, down 1%, as platform costs grew faster than revenue.
- Player revenue fell 7% in Q3 and 15% for the first nine months, reflecting lower device volumes and average selling prices. Player gross loss widened to $17.5 million in Q3 and $54.5 million year to date.
- Operating expenses increased 71% in Q3 to $503.8 million, including research and development of $207.6 million, sales and marketing of $209.4 million, and general and administrative expenses of $86.8 million. Stock-based compensation was $99.1 million in Q3, versus $50.4 million a year earlier.
- Other income included foreign-exchange gains, higher interest income and a $3.6 million unrealized gain on a strategic investment. This income partly offset the operating loss.
Cash flow, debt and liquidity
- For the first nine months, operating cash flow was $4.4 million, compared with $253.5 million in 2021. Investing cash outflow was $136.3 million, including $96.3 million of property and equipment purchases and a $40.0 million strategic investment. Financing cash inflow was $10.1 million.
- Cash and cash equivalents were $2.019 billion at September 30, 2022, compared with $2.146 billion at December 31, 2021. Current assets were $2.971 billion and current liabilities were $943.4 million.
- Debt carrying value was $82.5 million, all classified as current, with a 4.3% effective interest rate. The term loan matures or must be repaid in full by February 2023. Roku reported compliance with credit agreement covenants; $38.0 million of letters of credit were outstanding against the revolving facility.
- Management said existing cash, operating cash flow and available credit were expected to be sufficient for working capital, capital expenditures and known material cash requirements for the next 12 months and beyond. The credit agreement expires in February 2023.
Changes, outlook and risks
- Roku attributed pressure on advertising and device demand to inflation, recessionary fears and reduced discretionary and advertising spending. Supply-chain disruption, freight costs and component constraints also weighed on results.
- Management expected player gross margin to remain negative in the near term, prioritizing account acquisition and limiting price increases to consumers. It also expected research and development, sales and marketing, and general and administrative expenses to increase in absolute dollars. The filing provides no specific numerical revenue or earnings guidance.
- Platform cost of revenue rose 45% in Q3, including higher content acquisition and amortization costs, advertising inventory costs, cloud services and personnel costs. Content asset amortization was $62.6 million in Q3, versus $28.5 million a year earlier.
- At September 30, inventory purchase commitments were $220.4 million. Total content obligations were $420.1 million, of which $172.2 million was recorded as liabilities and $247.9 million was not yet recognized on the balance sheet. Operating lease liabilities totaled $619.5 million, with an additional $37.0 million commitment for leases not yet commenced.
- Roku had advanced $40.0 million under a potential $60.0 million financing commitment to a commercial counterparty. The convertible notes mature June 15, 2025, accrue interest at 5%, and are measured using Level 3 fair-value inputs.
- The company cited risks from competition for streaming users and advertising, dependence on content publishers and advertising inventory, privacy and cybersecurity obligations, supply-chain and sole-source supplier exposure, and macroeconomic uncertainty. It reported no material loss contingencies and said current legal matters were not reasonably likely to have a material adverse effect.
