Q3 revenue was essentially flat; acquisitions contributed 5%, offset by 2% organic decline and 3% adverse foreign exchange. For the nine months, sales grew 1.4%, reflecting 3.6% net contribution from acquisitions and divestitures and 0.9% organic growth, partly offset by 3.1% adverse currency effects. Nine-month net earnings rose approximately 6.0% year over year. Net earnings margins were 18.1% in Q3 and 18.5% for the nine months.

Segment trends. Q3 Medical & Scientific Imaging sales increased 11.5% and operating margin rose to 36.2%; RF Technology sales grew 6.2% and margin was 29.4%. Industrial Technology sales fell 9.5% and margin declined to 28.1%, while Energy Systems & Controls sales fell 15.3% and margin was 29.3%. Weakness in the latter two segments was mainly tied to oil-and-gas markets and foreign exchange. For the nine months, Medical & Scientific Imaging and RF Technology grew sales 12.6% and 5.9%, respectively; Industrial Technology and Energy Systems & Controls declined 7.3% and 12.6%.

Cash flow, debt and liquidity

  • Nine-month operating cash flow was $659.6 million, up from $579.2 million. Investing used $1,056.7 million, primarily for acquisitions; financing provided $529.3 million, including net debt proceeds of about $586 million.
  • Cash and cash equivalents were $700.6 million at September 30, 2015, versus $610.4 million at December 31, 2014. Net working capital was $297 million, compared with $285 million.
  • Total debt increased to $2.799 billion from $2.214 billion, principally to fund acquisitions. Net debt was $2.098 billion versus $1.604 billion; net debt to total net capital increased to 29.0% from 25.2%.
  • Debt included $590 million drawn under a revolving facility; the company reported compliance with all debt covenants. Revolving capacity was increased from $1.5 billion to $1.85 billion on October 28, 2015.
  • $616 million of cash and short-term investments were held at foreign subsidiaries and considered permanently reinvested; repatriation would trigger additional taxes. Management said existing cash, U.S. operating cash flow, credit capacity and capital-market access were expected to fund U.S. operating needs.

Material changes, outlook and risks

  • Roper completed six acquisitions for an aggregate purchase price of approximately $1.0 billion during the first nine months. These added $683 million of goodwill and $400 million of identifiable intangible assets; purchase-price allocations were preliminary.
  • After quarter-end, Roper sold Abel Pumps for €95 million; acquired Aderant for $695 million and Atlas for $48 million; and agreed to acquire Clinisys for £170 million, subject to approval and expected to close in Q1 2016.
  • Management expected a 2015 effective tax rate of approximately 30% and capital expenditures for the rest of the year comparable to prior years as a percentage of sales. It expected operating cash flow to support debt reduction, but noted the pace would depend on acquisitions and operating performance. The filing does not provide a specific full-year earnings or revenue forecast.
  • Tax benefits affected comparisons: the nine-month 2015 tax rate was 29.0% versus 30.0%, including a discrete $15.9 million benefit from resolution of a tax matter in Q2 and a Q3 foreign-tax-credit benefit. Other expense included a $3 million write-off of an investment in a startup technology company.
  • Currency translation reduced nine-month comprehensive income by $104.5 million, including $47 million related to goodwill that management said did not directly affect expected future cash flows. The filing also identifies acquisition integration, indebtedness, foreign exchange, oil-and-gas market cyclicality, goodwill and intangible impairment, litigation, product liability and warranty exposure among risks.
  • Management stated ordinary-course legal matters were adequately provided for and were not expected to have a material adverse effect. It noted asbestos-related claims could not be quantified. No material changes to market-risk disclosures were reported; disclosure controls were assessed as effective.

Most important facts for investors to verify

  • Whether sales and earnings growth persists without acquisition contributions, particularly given organic weakness in Industrial Technology and Energy Systems & Controls.
  • Acquisition integration, returns and final purchase-price allocations, including the pending Clinisys transaction and related funding needs.
  • Debt reduction progress, interest expense and leverage following acquisition-related borrowings; confirm the expanded revolving facility remains available on acceptable terms.
  • Whether the approximately 30% tax-rate expectation and operating-cash-flow outlook are achieved, including the effect of discrete tax items.
  • Exposure to foreign exchange, oil-and-gas demand, goodwill and intangible valuation, and unresolved litigation or product-liability claims.
