  • Q2 LTL tonnage per workday rose 2.8% and shipments per workday rose 1.8%. Revenue per LTL shipment increased 27.6% to $353.75, reflecting pricing and business mix as well as fuel surcharges.

  • Operating expenses increased, including fuel and other operating expenses, purchased transportation, and wages. Management attributed earnings and operating-ratio improvement to pricing, fuel surcharges, volume, business mix, cost control and operating efficiencies.
  • Six-month operating cash flow was $207.9 million, compared with $140.1 million. Investing cash outflow was $155.3 million, primarily reflecting higher capital spending and real estate acquisitions; financing cash outflow was $21.3 million. Cash ended the period at $137.9 million.

Financial Position and Liquidity

  • At June 30, 2022, total assets were $2.05 billion and stockholders’ equity was $1.40 billion. Working capital was $197.2 million, compared with $69.0 million at June 30, 2021.
  • Total debt was $39.3 million, consisting of finance leases; there were no revolving-credit borrowings. Cash was $137.9 million. The company reported $268.8 million available under its $300 million revolving facility, which expires in February 2024 and includes a conditional $100 million accordion feature.
  • Saia reported compliance with credit covenants. The facility requires minimum debt-service coverage of 1.25:1 and maximum leverage of 3.25:1.
  • Net capital expenditures were $155.3 million in the first half. Management expected 2022 net capital expenditures to exceed $500 million; $206.3 million of the remaining capital budget was committed at quarter-end.

Outlook, Risks and Other Notable Items

  • Management provided no specific revenue or earnings guidance. It said 2022 results would depend on economic conditions, inflation, labor availability, fuel prices, supply-chain constraints, competitive pricing and execution of company initiatives.
  • A market-competitive wage increase of approximately 4.3% for most employees took effect in July 2022. Management expected productivity and efficiency gains to partially offset its impact.
  • For customers subject to general rate increases—about 20% to 25% of operating revenue—Saia implemented a 7.5% increase in January 2022. Most remaining revenue is subject to individual customer price negotiations.
  • Insurance and claims are significant risks. The company reported $112.7 million accrued for claims and insurance liabilities and described potential additional payments under auto-liability policies of up to $11.5 million for one policy period and up to $7.5 million for another; neither additional amount was accrued at June 30 based on claims to date. Self-insured claims, insurance availability and coverage limits could increase costs or volatility.
  • Ordinary-course legal proceedings are ongoing. Management believes provisions are adequate and does not expect a material adverse effect on financial condition, while noting results in a particular quarter or year could be materially affected.
  • Management concluded disclosure controls were effective and reported no material changes in internal control over financial reporting during the quarter.

Important Facts for Investors to Verify

  • Track volume, shipment pricing, fuel surcharges and customer retention to assess whether revenue and margin gains are sustainable, especially if fuel prices or freight demand change.
  • Compare actual 2022 capital expenditures with management’s expectation of more than $500 million and assess the resulting cash needs and returns on network expansion.
  • Reconcile the filing’s reported letters of credit: the debt note gives $31.2 million under the credit agreement, while MD&A reports $33.0 million in total outstanding letters of credit.
  • Monitor wage, purchased-transportation, fuel, insurance and claims costs, including the potential policy payments and self-insured exposure described in the filing.
  • Review the facility’s availability and covenant compliance as investment spending and working-capital requirements evolve.
