Revenue growth primarily reflects Nora Pharma, which was not included in the comparable 2022 results. Cost of sales was 64.9% of Q2 revenue and 63.8% of first-half revenue, versus 49.7% and 49.3%, respectively, in 2022. General and administrative expenses rose to $2.94 million in Q2 and $6.60 million in the first half, driven by Nora Pharma and higher salaries, office, consulting, R&D and public-company costs. Weighted-average shares rose to 25.35 million for Q2 and 23.83 million for the first half, from 15.85 million and 9.69 million, respectively.

Cash, liquidity and obligations

  • Cash and cash equivalents were $19.73 million at June 30, 2023, down from $21.83 million at December 31, 2022. Working capital was approximately $21.44 million, based on reported current assets and current liabilities.
  • First-half operating cash use was $5.63 million, versus $1.88 million in 2022; investing cash use was $406,000. Financing provided $3.52 million, including $4.09 million net proceeds from the May private placement, partly offset by $507,000 of share repurchases.
  • Total liabilities were $5.30 million, including $2.55 million of current earnout payable and $719,000 of lease liabilities. The filing reports no conventional borrowings outstanding at period-end.
  • Management says existing cash is expected to fund operations for 18–24 months, but estimates an additional approximately $30 million will be needed for expansion, including drug development and potentially a Phase I trial. There are no committed financing arrangements.

Business developments, outlook and risks

  • Nora Pharma had 50 generic drugs on the Canadian market; 27 additional products were scheduled for launch from Q3 2023 through Q3 2024, subject to regulatory review and execution.
  • Proprietary programs remain in development: Adva-27a (pancreatic cancer) was in IND-enabling studies; K1.1 (liver cancer) and SBFM-PL4 (coronavirus) were in animal testing. The filing gives no launch dates for these candidates.
  • The May 2023 private placement generated approximately $5 million gross and $4.09 million net. It included 11.90 million investor warrants exercisable at $0.59 per share, as well as pre-funded warrants. Other outstanding warrants add potential dilution.
  • The company repurchased 445,711 shares for $507,000 during the first half under a program of up to $2 million; it reported further repurchases of 68,012 shares for $34,321 in July and August.
  • Management cautions that revenue is not sufficient to fully implement its business plan and that future financing may be unavailable or unacceptable. Product launches, regulatory reviews, clinical development, and the ability to raise capital are key execution risks. The filing reports no material legal proceedings, no off-balance-sheet arrangements, and effective disclosure controls; it does not provide a separate detailed risk-factor discussion in this 10-Q.

Important facts for investors to verify

  • Whether Nora Pharma revenue and margins can be sustained and improve as planned, given lower reported gross margins than the 2022 comparison.
  • Cash burn and the assumptions behind management’s 18–24-month runway estimate and approximately $30 million additional capital requirement.
  • Timing, regulatory status and commercial readiness of the 27 planned generic launches, and progress toward IND-enabling or animal-study milestones for proprietary candidates.
  • Potential dilution from outstanding warrants, including the 11.90 million May investor warrants, and the effect of future financing on shareholders.
  • The earnout terms and remaining $2.55 million payable, including how future payments depend on sales and the seller’s continued employment.
