Outlook, Risks and Contingencies

  • Management expected the FY2020 effective tax rate from continuing operations to be approximately 25% to 26% and stated that existing liquidity should cover working-capital and cash requirements for at least the next twelve months.
  • The Company is repositioning toward higher-margin, adjacent and recurring-revenue opportunities, particularly cloud, telecom services and digital platforms.
  • Key risks include intense competition and narrow margins, reliance on major suppliers including Cisco and Zebra, customer credit losses, inventory obsolescence, foreign-exchange volatility, variable interest rates, cybersecurity and information-system disruptions, acquisition integration, and execution of the planned divestitures.
  • Most supplier agreements are non-exclusive, short-term and terminable on 30 to 120 days’ notice. Cisco and Zebra each represented more than 10% of FY2019 net sales.
  • The Company reported no material off-balance-sheet arrangements and stated that pending litigation was not expected to have a material adverse effect, although outcomes cannot be assured.
  • Grant Thornton issued unqualified opinions on the financial statements and internal control over financial reporting. Management excluded Canpango and RPM from its internal-control assessment because they were acquired during FY2019.

Investor Verification Checklist

  • Verify whether the planned international physical-distribution divestitures were completed, their proceeds or losses, and any impairment or restructuring charges.
  • Track inventory levels, inventory turnover, receivable days and operating cash flow following the FY2019 working-capital build.
  • Reconcile reported GAAP results with non-GAAP results, particularly the effects of contingent consideration, restructuring, acquisition costs and amortization.
  • Monitor debt balances, variable-rate exposure, credit-facility availability and compliance with the 3.50-to-1.00 leverage and 3.00-to-1.00 interest-coverage covenants.
  • Assess the performance and integration of intY, Canpango, RPM and Intelisys Global, including the expected contribution of recurring cloud and services revenue.
  • Review supplier concentration, rebate assumptions and the terms and renewal status of Cisco and Zebra distribution agreements.
