Revenue growth reflected Pandora advertising (+30%), Sirius XM advertising (+20%), and Sirius XM subscriber revenue (+4%). Pandora advertising rose to $1,542; its subscriber revenue was $530. Sirius XM subscriber revenue was $6,084. Segment gross profit was $4,030 for Sirius XM (60.8% of segment revenue) and $743 for Pandora (35.9%).

Net income’s sharp increase was substantially affected by the prior-year $956 Pandora goodwill impairment: 2021 impairment, restructuring and acquisition costs were $20, compared with $1,004 in 2020. Higher revenue and lower subscriber acquisition costs also supported adjusted EBITDA growth, partly offset by higher royalties, programming and content, marketing, and personnel-related costs.

Cash, debt and capital allocation

  • Cash and cash equivalents were $191 at year-end, with total cash, cash equivalents and restricted cash of $199. The $1,750 revolving facility had no borrowings outstanding; $1,749 was available, net of letters of credit.
  • Debt principal was approximately $8,845, with a balance-sheet carrying value of $8,832 in long-term debt. The company reported covenant compliance. It issued $4,500 of senior notes in 2021 and redeemed $3,500 of older notes, extending and refinancing maturities; debt-related extinguishment losses were $83.
  • Investing cash outflow was $200, including $388 of property and equipment additions, partly offset by $225 in SXM-7 insurance proceeds. Financing cash outflow was $1,682, including $1,523 of share repurchases and $268 of dividends.
  • Approximately $2,080 remained under the $18,000 repurchase authorization at year-end. Subsequent to year-end, the board declared a $0.25-per-share special dividend as well as a quarterly dividend of $0.0219615 per share.

Material changes, outlook and risks

  • Subscriber trends diverged: Sirius XM self-pay subscribers increased 4% to 32.0 million, but paid promotional subscribers fell 48%; total Sirius XM subscribers declined 2% to 34.0 million. Pandora subscribers edged up 1%, while monthly active users fell 11% to 52.3 million and ad-supported listening hours declined 8%.
  • Monetization and churn: Sirius XM ARPU increased 5% to $14.76 and self-pay monthly churn improved to 1.6%. Pandora advertising revenue per thousand listener hours rose 30% to $102.74, helping offset reduced audience and listening hours.
  • Management outlook: The filing does not provide clear quantitative full-year 2022 guidance. Management expected Sirius XM subscriber revenue to benefit from subscriber growth, pricing and added services; it anticipated lower equipment revenue from semiconductor shortages. It expected Pandora advertising revenue to benefit from off-platform opportunities and Stitcher, while noting Pandora subscriber revenue could decline with its subscriber base.
  • Satellite and supply-chain exposures: SXM-7 was deemed unusable after payload failures and fully impaired; the $220 impairment was offset by insurance recovery, and the company collected $225 in total proceeds. SXM-8 entered service in September 2021; SXM-9 and SXM-10 were expected to launch in 2024 and 2025. The company generally does not insure its in-orbit satellites. Semiconductor shortages affected radio components and automaker production, with potential effects on installations and subscriber acquisition.
  • Other principal risks: Competition from free radio and major streaming platforms; declining Pandora audience; music royalty costs and licensing disputes; COVID-19 and vehicle-industry disruption; privacy, cybersecurity and consumer-protection regulation; FCC licensing and interference; litigation; and substantial leverage. The filing also identifies a California pre-1972 sound-recording class action and other proceedings; it does not state a clear total exposure for pending litigation.

Most important facts for investors to verify

  • Whether Sirius XM’s self-pay growth can offset the decline in paid promotional subscribers and the resulting total subscriber contraction.
  • Whether Pandora can stabilize its active-user and listening-hour declines while sustaining higher ad pricing and monetization.
  • Debt principal, interest burden, maturity schedule, available revolver capacity and the cash demands of dividends and repurchases.
  • Effects of semiconductor availability on vehicle production, radio installations, equipment revenue and subscriber acquisition.
  • SXM-7 insurance accounting and satellite replacement timing, and the potential cost or operating impact of future satellite failures.
  • Changes in music royalty rates, licensing arrangements, litigation outcomes and other material contingencies; the filing’s contractual commitment schedule totals $15,068, subject to exclusions and variable obligations.
