Revenue was entirely collaboration revenue from related party Ultragenyx; the company had no product revenue. The remaining $8.1 million of deferred collaboration revenue was recognized during the first half as contemplated R&D services were completed, leaving no deferred revenue at June 30. Profit margins are not meaningful for this pre-commercial business.
First-half investing cash outflow was $21.9 million, primarily reflecting net purchases of available-for-sale securities and $1.3 million of property and equipment. Financing cash provided was $0.1 million; the prior-year period included $134.9 million of net proceeds from a public stock offering. The company reported no debt outstanding. Balance-sheet operating lease liabilities totaled approximately $24.6 million, primarily associated with its new facility.
Changes and unusual items
- Q2 operating expenses rose 42% year over year to $31.6 million; first-half expenses rose 38% to $58.8 million. Higher R&D spending—especially manufacturing-related costs for SGT-001 and SGT-003—was the main driver. First-half G&A expense increased 11% to $14.2 million.
- In April, the company shifted its strategy to prioritize SGT-001, SGT-003 and next-generation capsids, adopted a planned outsourced transient-transfection manufacturing approach for SGT-001, and reduced headcount by about 35%. It recorded $1.5 million of restructuring charges; $0.8 million remained accrued, expected to be paid within six months. Management did not expect significant further restructuring costs.
- The company relocated its headquarters to a new approximately 49,869-square-foot facility in Charlestown in June. It recorded a $28.9 million operating lease right-of-use asset and a $24.6 million lease liability for the new lease.
Outlook, management commentary and risks
- Management estimated that June 30 cash and investments would fund operating and capital requirements into Q2 2024. The financial statement note separately says resources are sufficient for at least 12 months from issuance. Both estimates depend on assumptions and could prove shorter than expected; additional funding will be needed to operate beyond the forecast period.
- Management expected to resume SGT-001 dosing in 2023 using product made with the new transient-based process and to report additional IGNITE DMD data in early 2023. Manufacturing scale-up, testing and FDA discussions were ongoing. SGT-003 remained on track for an anticipated mid-2023 IND submission.
- Enrollment in IGNITE DMD had concluded; patients are to be monitored for five years after treatment. The company reported March 2022 interim results from three patients suggesting durable benefit across functional, pulmonary and patient-reported measures, but emphasized that interim findings may change. Its history includes serious drug-related adverse events and a prior FDA clinical hold, lifted in October 2020.
- Key risks include clinical safety and efficacy uncertainty, manufacturing comparability and supply, regulatory delays, competition, dependence on external manufacturers, and the need for additional capital. The company warned that financing may dilute shareholders or require it to delay or reduce programs.
- Nasdaq notified the company that its share price had been below the $1.00 minimum bid requirement for 30 consecutive business days. The initial compliance deadline was November 28, 2022; failure to regain compliance could threaten listing and liquidity.
- No material legal proceedings were reported. Management concluded disclosure controls and procedures were effective at the reasonable-assurance level as of June 30, 2022.
