Material changes and business drivers

  • Q3 sales increased across end markets: industrial sales rose to $67.8 million, high-end consumer to $60.3 million, and infrastructure to $66.8 million. Management cited LoRa-enabled products, broadcast, proximity sensing, TVS consumer products, and 10G PON as growth drivers; data-center demand and legacy Power and High Reliability sales declined.
  • For the nine months, Wireless and Sensing sales rose to $184.2 million from $122.9 million, Protection to $150.9 million from $114.4 million, and Signal Integrity to $215.2 million from $193.1 million.
  • Gross margin improved, which management attributed primarily to favorable product mix. Operating expenses rose 19% in Q3: R&D increased 34%, including staffing, supplies, and contracted research; SG&A increased 11%, partly due to share-based compensation. Nine-month investment impairment and credit-loss charges declined to $0.9 million from $5.5 million.
  • Sales are concentrated: four customers each represented at least 9% of Q3 revenue, and the two largest each represented 18%. Distributor sales were 88% of Q3 revenue. China, including Hong Kong, accounted for 59% of Q3 sales; Asia-Pacific accounted for 78%.

Outlook, risks, and contingencies

Management forecast Q4 FY2022 net sales of $184 million to $194 million and gross margin of 63.1% to 64.1%. It cited booking trends and backlog, while noting uncertainty related to macroeconomic conditions and COVID-19.

  • Demand remained strong while supply was tight, with suppliers at or near capacity. Higher input costs, shipment delays, and constrained supply could persist; selective price increases may not offset all cost increases. Management also warned that customer precautionary ordering could create excess inventory and weaken later demand.
  • Operations depend on a limited number of suppliers, foundries, and subcontractors, many in Asia. COVID-19 disruptions, freight constraints, trade restrictions, and workforce impacts—including possible vaccine or testing mandates—could affect production, costs, and delivery.
  • The $600 million credit facility is secured and subject to financial and other covenants. A swap fixed the rate on the first $150 million of debt; $27 million remained floating-rate at quarter-end. The company had amended the facility to address LIBOR transition.
  • Environmental remediation at a former California facility had an estimated probable-loss range of $7.4 million to $8.0 million; $5.6 million had been paid and $1.8 million accrued. Management could not identify a best estimate within the range and recorded its minimum.
  • Management said pending legal matters were not expected to have a material adverse effect in aggregate, while acknowledging outcomes are uncertain. A Cycleo earn-out dispute remained unresolved; any payment was not expected to be material.

Key facts for investors to verify

  • Whether supply availability, backlog conversion, and customer inventory levels support the Q4 revenue and margin outlook.
  • How much reported growth and margin improvement reflects durable end-market demand and product mix versus constrained supply or precautionary distributor ordering.
  • Customer, distributor, and geographic concentration, including China exposure and the dependence on third-party manufacturing.
  • Cash generation and planned uses of cash, particularly $97.0 million of nine-month share repurchases and continued investment in inventory and product development.
  • Potential changes to environmental remediation estimates, uncertain tax positions, investment credit-loss reserves, and the LIBOR transition.
