Management considers operating revenues more useful than total revenues because total revenues include gross physical-commodity sales. The effective income tax rate was 26.2%, versus 25.3% in FY2022. Return on average stockholders’ equity was 19.5%, compared with 21.0%.
- Revenue drivers: Interest and fee income on client balances rose 331% to $384.7 million, reflecting higher short-term rates and increased listed-derivatives client equity. Securities operating revenue increased 74% to $1.064 billion, supported by higher trading volume and interest rates, although securities net operating revenue fell 11% to $325.6 million as spreads tightened and product mix shifted.
- Other product trends: Global Payments revenue rose 24% to $208.3 million and physical-contract revenue rose 26% to $244.9 million. Retail FX/CFD revenue declined 23% to $261.9 million. Listed-derivatives revenue declined 3%; OTC-derivatives revenue increased 11%.
- Costs and earnings quality: Total compensation and other expenses rose 10% to $1.323 billion. Total interest expense increased to $859.7 million from $180.2 million, largely due to higher rates and fixed-income activity. FY2023 included a $23.5 million nonrecurring gain on the CDI acquisition and a $2.1 million FX antitrust settlement gain. Net income includes the benefit of the acquisition gain.
- Cash, equity and debt: Cash, segregated cash, cash equivalents and segregated cash equivalents totaled $6.042 billion at year-end, down $243.4 million. Total assets were $21.939 billion; stockholders’ equity was $1.379 billion. Total consolidated indebtedness was $683.1 million, including $341.0 million of variable-rate borrowings and $342.1 million carrying value of 8.625% senior secured notes due 2025.
- Funding capacity: Five committed credit facilities totaled $1.2 billion, with $278.0 million outstanding at September 30, 2023. The company said $410 million of commitments were scheduled to expire during the following fiscal year and stated it intended to renew or replace them. It reported compliance with financial covenants and regulatory capital requirements at year-end.
Material changes and management commentary
- Commercial segment income increased 36% to $390.7 million; Institutional rose 25% to $217.9 million; Global Payments rose 12% to $109.1 million. Retail segment income fell 60% to $45.8 million, primarily reflecting lower FX/CFD activity amid reduced volatility and tighter trading ranges.
- Management cited inflationary pressure, monetary tightening and higher short-term rates, while noting generally lower market volatility than in the prior year. Transaction volumes grew across products except FX/CFD, but spreads tightened across products other than global payments.
- Non-variable expenses increased, including compensation, technology, travel and depreciation. Variable expenses fell to 52% of total non-interest expenses from 56% in FY2022. The company recorded $14.9 million of severance costs, principally associated with a Global Payments reorganization, including $10.0 million related to that business.
- FY2023 acquisitions included Swiss cotton merchant CDI and Colombian grain-import support business Incomm. CDI contributed $36.9 million of net operating revenue and $18.6 million of net income after acquisition. The CDI purchase-price allocation remained open.
Outlook, risks and unusual items
- The filing provides no quantified earnings or revenue guidance. Management said cash flow from operations, available cash and borrowing capacity were expected to meet future liquidity needs, and it believed it could renew or replace facilities as they expire.
- Key risks include market volatility and trading losses, tighter spreads or reduced trading volumes, lower interest rates or client balances, short-notice margin calls, client and counterparty defaults, access to funding, and the refinancing or renewal of credit facilities. The company also highlights regulatory, litigation, cybersecurity, technology, foreign-exchange and geopolitical risks.
- The January 2023 cybersecurity incident at vendor ION disrupted certain listed-derivatives back-office services. StoneX restricted some U.K. clients’ trading; services were restored and restrictions lifted during February 2023.
- OptionSellers-related client deficits remained under collection and arbitration proceedings. The net receivable was $17.2 million with a $5.1 million allowance at year-end. Management said it considered a material adverse outcome remote, while noting final outcomes and collections remain uncertain.
- The company authorized repurchases of up to 1.0 million shares for October 2023–September 2024, subject to discretion, market conditions and restrictions. Credit agreements prohibit cash dividends. A 3-for-2 stock split was announced after year-end.
- KPMG issued unqualified opinions on the financial statements and internal control over financial reporting. Management and the auditor excluded the acquired CDI and Incomm businesses from the year-end internal-control assessment; their combined reported assets were $151.2 million and FY2023 revenue was $388.6 million.
Important facts for investors to verify
- Review the full-year, rather than assumed quarterly, comparison and confirm how much earnings growth depends on elevated interest rates and client balances.
- Reconcile reported securities revenue growth with the decline in securities net operating revenue and the revised securities rate-per-million measure.
- Track facility renewals and maturities, variable-rate debt exposure, covenant headroom and the $342.1 million carrying value of notes due in 2025.
- Monitor Retail segment performance, spread trends, and whether the Global Payments reorganization delivers the expected cost changes.
- Follow CDI purchase-accounting finalization, OptionSellers recoveries and arbitration outcomes, and any further costs or consequences from vendor or company cybersecurity incidents.
- Assess the significance of acquisition and settlement gains, severance costs, and the exclusion of acquired businesses from the internal-control assessment.
