Reporting period: Three and nine months ended September 30, 2015; balance-sheet comparisons are with December 31, 2014. • Gross margin was approximately 21% in Q3 and 24% for the nine months, versus approximately 24% and 26%, respectively, in the comparable 2014 periods.
  • Q3 net income included $4.05 million of noncash income from a change in the fair value of warrant liabilities. For the nine months, warrant remeasurement instead generated a $0.91 million noncash expense. Basic Q3 EPS was $0.10; diluted EPS was $(0.05), reflecting the warrant adjustment in diluted EPS.
  • Cash and cash equivalents were $4.03 million, down from $5.53 million at year-end 2014. Working capital was $1.37 million when excluding the noncash warrant liability; including that liability, current assets less current liabilities imply a deficit of approximately $0.77 million.
  • Current liabilities included $4.35 million of accounts payable, $2.14 million of warrant liability and $0.29 million of notes payable. The notes, issued in connection with an equity financing arrangement, are due by April 15, 2016 and do not bear stated interest.
  • Operating cash use increased year over year despite a smaller reported net loss. Cash declined by $1.49 million over the first nine months of 2015.
  • Common shares outstanding increased to 27.07 million from 23.94 million at year-end 2014. Financing included equity-line sales and warrant and option exercises.

Changes versus prior comparable periods

  • Nine-month revenue rose 13%, primarily from progress on OrbeShield and RiVax government contracts. Q3 revenue increased 39% year over year.
  • R&D expense fell 49% for the nine months, mainly because 2014 included a $4.0 million acquired in-process R&D charge for SGX301. Excluding that unusual prior-year item, the decline is less pronounced.
  • Q3 reported net income reversed the prior-year loss, chiefly because of the favorable quarterly warrant fair-value movement; operations remained loss-making.
  • Cash and reported working capital declined, with management citing SGX942 Phase 2 trial spending and SGX301 Phase 3 clinical-supply manufacturing.

Outlook, risks and unusual items

  • Management said available cash, expected government contract and grant proceeds, equity facilities and New Jersey tax-credit certificate proceeds were expected to fund working capital and capital expenditures for at least 12 months. This expectation depends in part on funding availability and financing access.
  • The company estimated approximately $17.7 million of R&D spending over the next 12 months before grant reimbursements, including $8.0 million for BioTherapeutics and $9.7 million for Vaccines/BioDefense; it anticipated approximately $9.7 million of contract and grant revenue to offset Vaccines/BioDefense R&D.
  • Management reported up to $45.6 million of active government contract and grant funding available for associated programs and $17.9 million available under equity facilities through 2016. These are not equivalent to unrestricted cash; government awards may depend on options, milestones or continued funding, and equity financing may dilute shareholders.
  • The July 2015 equity purchase agreements permit up to $10 million of stock sales through December 2016 at a purchase price equal to 80% of the lowest VWAP during a specified five-day period. The filing warns that sales could pressure the share price. The company had made an initial $500,000 draw, with substantial issuance costs.
  • Pipeline plans included initiating SGX301 Phase 3 in the second half of 2015, completing SGX942 Phase 2 in Q4 2015, and initiating SGX203 Phase 3 in the first half of 2016. These are forward-looking targets, not completed milestones.
  • Clinical development, regulatory approval, intellectual-property protection, reliance on government funding, financing availability and potential dilution are significant risks. Licensing and collaboration agreements include about $475,000 of commitments and potential success-based milestones of up to $7.9 million plus royalties of up to 6%; the SGX301 asset agreement also provides for up to $10 million of additional milestone payments if achieved.
  • Management concluded disclosure controls were effective at a reasonable assurance level and reported no material change in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether government contract and grant receipts and equity facilities are sufficient to support the stated 12-month liquidity outlook, and whether funding is conditional or available for general use.
  • Cash burn, accounts-payable levels and the timing of collection of the $1.86 million in contract and grant receivables.
  • Clinical-trial progress and funding for SGX301, SGX942 and SGX203 against the timelines disclosed in this filing.
  • The impact of additional discounted equity-line sales, warrant exercises and other share issuances on dilution and the share price.
  • The warrant-liability valuation and its noncash impact on reported earnings; Q3 profitability did not reflect operating profitability.
