Material changes and financial position

  • Q2 revenue rose 20.1% year over year (22.8% in constant currency); products sold increased 34.8%. Management attributed growth to strong demand and improved supply availability, while noting that supply constraints left a backlog at quarter-end. Six-month revenue increased 8.8% (10.0% in constant currency).
  • Q2 gross margin fell 500 basis points, mainly due to higher component, shipping, and logistics costs; higher selling prices partly offset the pressure. Six-month gross margin declined 90 basis points, also affected by tariffs and fewer tariff refunds than in the prior-year period.
  • Q2 net income was approximately half the prior-year level; six-month net income fell 11.7%. Operating expenses increased year over year, including research and development spending and stock-based compensation.
  • Cash and cash equivalents were $606.7 million at April 2, 2022, versus $640.1 million at October 2, 2021. Current assets were $1,010.7 million and current liabilities $463.7 million. Inventory rose to $264.4 million from $185.1 million, reflecting increased investment to mitigate supply constraints.
  • For the six months, operating cash flow was $82.4 million versus $176.0 million in the prior year. The decrease primarily reflected an $86.2 million inventory cash use, bonus payments, and other working-capital movements. Investing cash flow was negative $42.8 million, including $27.1 million for acquisitions; financing cash flow was negative $68.8 million, including $74.5 million of share repurchases.
  • No borrowings were outstanding under the $100 million senior secured revolving credit facility; $2.9 million of letters of credit reduced availability. Sonos reported covenant compliance. The facility is secured by substantially all company assets.

Outlook, risks, and unusual items

  • The filing provides no specific numerical revenue or earnings guidance. Management said supply-chain disruption, component and freight cost pressure, and delayed product availability could continue while industry challenges persist. Sonos believes cash, operating cash flows, and committed credit lines will cover working-capital and capital-expenditure needs for at least the next 12 months.
  • COVID-19-related supply constraints and China lockdowns continued to affect component availability, shipping, costs, and efforts to diversify manufacturing into Malaysia. Management said the Russia-Ukraine conflict had not materially affected the quarter, but could increase inflation, foreign-exchange volatility, supply-chain disruption, and cybersecurity risk.
  • Sonos recorded $4.7 million in tariff refunds in the six-month period as a reduction to cost of revenue. About $9.5 million of additional potential refunds remained unrecorded pending approval. A tariff exclusion extension for certain core speakers runs from April 13 through December 31, 2022, with an estimated $10 million refund also unrecorded pending approval.
  • Two acquisitions completed in fiscal Q1 cost $27.1 million in cash and added $22.2 million of goodwill. On April 8, 2022, after quarter-end, Sonos acquired Netherlands-based Mayht for approximately $100 million in cash; consolidation was expected to begin in fiscal Q3, and purchase accounting was not finalized.
  • Sonos’s patent dispute with Google resulted in a January 2022 ITC limited exclusion order and cease-and-desist order covering certain Google products. Other patent litigation and appeals remain ongoing; the company said potential losses, if any, were not probable or reasonably estimable at April 2, 2022.
  • Foreign-currency losses were $3.7 million for the six months, versus a $2.7 million gain in the prior-year period. Sonos does not hedge foreign-currency exposures; a hypothetical adverse 10% currency move would have reduced pretax income by an estimated $5.1 million for Q2 and $15.6 million for the six months.
  • Other important risks include dependence on a limited number of manufacturers, suppliers, logistics providers, and retail partners; product demand and seasonal forecasting; competition and product execution; tariffs; intellectual-property litigation; and cybersecurity and privacy risks. The filing reported effective disclosure controls at quarter-end.

Investor facts to verify

  • Whether component, freight, and tariff costs ease, and whether outstanding tariff refunds are approved and collected.
  • How operating cash flow and margins trend as inventory and other working-capital needs change.
  • The Mayht acquisition’s final purchase-price allocation, integration costs, and contribution to results.
  • Developments in the Google and other patent cases, including any material financial or operating consequences.
  • The pace of share repurchases, stock-based compensation, and dilution from equity awards.
