SWK Holdings Corp. — FY 2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. This is an annual filing, not a standalone fourth-quarter report; quarterly results are not clearly provided in the filing text. SWK operates in two segments: Finance Receivables, which finances life-sciences businesses and acquires royalty interests, and Pharmaceutical Development, centered on Enteris BioPharma’s Peptelligence oral drug-delivery platform.
Financial performance and position
| Metric | FY 2022 | FY 2021 |
|---|---|---|
| Revenue | $41.5 million | $56.2 million |
| Operating income | $10.0 million | $31.0 million |
| Net income | $13.5 million | $25.9 million |
| Diluted earnings per share | $1.05 | $2.02 |
| Operating cash flow | $8.2 million | $34.3 million |
| Cash and cash equivalents, year-end | $6.2 million | $42.9 million |
Revenue fell 26% year over year. Pharmaceutical Development revenue declined to $5.5 million from $16.1 million, primarily reflecting lower Cara-related milestone revenue ($5.0 million in 2022 versus $15.0 million in 2021). Finance Receivables interest income and fees declined to $35.5 million from $39.3 million, chiefly as royalty rates stepped down after return premiums were achieved; higher interest and fees partially offset the decrease. Net income also benefited from a $4.0 million income-tax benefit, compared with $7.1 million of tax expense in 2021. Derived net margin was approximately 32.5%, versus 46.2%.
At year-end, total assets were $299.6 million, stockholders’ equity was $279.9 million, and finance receivables were $236.6 million net of an $11.8 million credit-loss allowance. The allowance included a full $3.5 million reserve on the TRT cost-method investment, recognized after weaker-than-anticipated operating results. Nonaccrual receivables totaled $18.0 million across Flowonix, Best ABT and Ideal Implant.
SWK had $2.4 million outstanding under its revolving facility and $32.6 million available to borrow under the $35.0 million Cadence Bank commitment, extended to September 30, 2025. Current assets were $10.4 million and current liabilities $6.3 million. Unfunded investment commitments totaled $11.9 million. Cash declined $36.7 million during the year, primarily reflecting investment funding and operating payments, partly offset by collections on finance receivables.
Changes, outlook and material items
- Operating income declined to $10.0 million from $31.0 million. In addition to lower revenue, 2022 included a $3.5 million credit-loss provision and a $5.2 million expense from remeasuring Enteris acquisition-related contingent consideration; 2021 had a $0.3 million gain on that remeasurement.
- Management expected the existing finance receivables portfolio to generate positive cash flows in 2023, but gave no formal earnings or revenue guidance. It cautioned that the timing of new investments is uncertain and assumed no near-term borrower repayments.
- SWK planned to adopt the CECL credit-loss standard in 2023 and estimated an initial allowance increase of $1 million to $2 million, including off-balance-sheet exposures; the final impact could differ.
- Approximately 64% of term loans referenced LIBOR at year-end. The company described transition to SOFR or another replacement rate, and possible effects on borrower costs and SWK’s investment income, as uncertain.
- Enteris revenue is substantially dependent on Cara: Cara accounted for approximately 87% of Pharmaceutical Development segment revenue in 2022. The filing says the segment’s licensees may not obtain regulatory approvals or successfully commercialize products; Enteris itself does not plan to pursue clinical development of product candidates.
- SWK disclosed significant 2022 leadership and board turnover, and that Carlson-affiliated funds owned 70.8% of common stock and unvested restricted stock at year-end. The filing also describes a February 2023 stockholders’ agreement granting Carlson approval rights over specified transactions.
- Key risks include borrower defaults and concentrated portfolio exposures; life-sciences regulation, reimbursement, commercialization and patent risks; limited cash and reliance on financing; interest-rate and funding-cost changes; and possible limitations on tax-attribute use. The filing notes subsequent March 2023 U.S. bank failures but says SWK maintained no accounts with Silicon Valley Bank or its UK affiliate.
- The company recorded no material litigation expected to affect its business. Auditors issued an unqualified opinion on the financial statements and identified valuation of finance receivables as a critical audit matter. Management reported effective disclosure controls and internal control over financial reporting; the auditor did not attest to internal-control effectiveness.
Important facts for investors to verify
- Review the valuation assumptions, collateral and expected cash flows underlying the $236.6 million receivables balance, the $11.8 million allowance and the $18.0 million of nonaccrual assets.
- Track collections, new originations, liquidity and borrowing capacity against the $11.9 million of unfunded commitments; confirm the 2023 CECL allowance and any changes to credit quality.
- Assess the sustainability of finance revenue after royalty-rate step-downs and the timing and concentration of Cara-related milestones and other Enteris revenue.
- Monitor the contingent-consideration liability ($11.2 million at year-end), LIBOR transition terms, and the impact of floating-rate borrowing on portfolio companies and SWK.
- Verify developments in Carlson’s governance rights and ownership, leadership transitions, and the status of the share-repurchase authorization, which had approximately $8.9 million remaining at year-end.
