Ting drove the increase: Network Access revenue rose to $62.2 million from $35.9 million, including $58.9 million from mobile services and $3.3 million from other services. Domain Services revenue was $110.8 million, down slightly from $111.8 million. Wholesale revenue declined to $94.3 million from $96.3 million; Retail increased to $12.3 million from $10.4 million, while Portfolio fell to $4.1 million from $5.1 million. OpenSRS represented 49% of total revenue, versus 59% in 2014.

Sales and marketing expense increased 20% to $18.5 million, and general and administrative expense rose 13% to $10.7 million, reflecting business growth and compensation, processing, bad-debt and other costs. The effective tax rate increased to 36.6% from 32.4%.

Balance sheet, cash flow and capital allocation

  • Year-end cash and cash equivalents were $7.7 million, down from $8.3 million. Total assets were $129.1 million; stockholders’ equity was $26.3 million.
  • Debt was $3.5 million at year-end, compared with none in 2014. The company reported access to a $14 million revolving facility, plus treasury-risk and operating facilities, and said it was in compliance with its financial covenants.
  • Deferred revenue was $71.6 million, compared with $71.1 million; prepaid domain registry and ancillary-service fees totaled $55.7 million. These reflect the advance-payment nature of much of the domain business.
  • Investing activities provided net cash of $3.3 million, including $6.6 million received in connection with the .online arrangement, partly offset by $3.0 million of property and equipment additions and the Ting Virginia acquisition payment. Financing activities used $17.2 million, mainly reflecting share repurchases.
  • The company repurchased 868,549 shares for $20.0 million under its 2015 program and separately repurchased 193,907 shares for $3.6 million in a tender offer. In February 2016, it authorized a new repurchase program of up to $40 million through February 2017; purchases are discretionary and may be funded from working capital and existing credit facilities. No cash dividends were paid.

Outlook, commentary and risks

  • Management said operating cash flow should be adequate for anticipated working capital, capital expenditures and loan repayments for at least the next 12 months. It expected 2016 sales and marketing and general and administrative expenses to increase, and technical operations and development expenses to rise slightly.
  • Capital spending to build and extend Ting’s fiber networks was expected to increase significantly in 2016. The company also disclosed a 10-year Westminster, Maryland network arrangement that could require quarterly funding advances in specified shortfall circumstances; the maximum potential payments could not be estimated because financing for construction had not been arranged.
  • Management cited intensifying competition and potential price pressure in mobile and domain services; Ting’s reliance on two mobile network operators; subscriber churn, credit and service-cost risks; large domain customers moving to in-house systems; and uncertainty around new generic top-level domains. Domain portfolio advertising and name-sale revenue had flat-to-declining trends.
  • Foreign exchange is a material exposure: revenue is primarily in U.S. dollars while a major portion of expenses is in Canadian dollars. Outstanding U.S.-dollar forward contracts totaled $24.0 million and carried a $2.0 million fair-value liability at year-end. Management estimated a hypothetical 10% adverse currency move would reduce FY2015 net income by approximately $2.7 million.
  • The .online joint venture was replaced by a three-year joint marketing agreement. Tucows received $6.6 million in proceeds; a $1.5 million gain is recognized over the agreement term, with $0.1 million recognized in 2015. The company acquired a 70% interest in Ting Virginia in February 2015; the acquired business contributed $3.3 million of 2015 revenue and had no significant impact on net income.
  • Management reported no material impairment of goodwill or indefinite-lived intangible assets in the annual tests; it did record $0.2 million of impairment for domain names not renewed. Management and the auditor reported effective internal control over financial reporting at year-end; previously disclosed material weaknesses were reported as remediated. The financial statement audit opinion was unqualified.

Important facts for investors to verify

  • Whether Ting subscriber growth and margins can persist as competition, churn and network-partner dependence evolve.
  • Whether domain transaction volumes and wholesale revenue stabilize despite large-customer migrations and new gTLD market changes.
  • The amount, timing and returns on planned 2016 fiber-network investment, including Westminster obligations and any further Ting Virginia investment.
  • Cash needs and covenant headroom after the $40 million repurchase authorization, and the effect of buybacks on liquidity and share count.
  • The underlying effects of currency movements, hedge accounting and the $2.0 million forward-contract liability.
  • Future realization of deferred tax assets and outcomes of tax reviews; the filing reports $117,000 of gross unrecognized tax benefits at year-end.
