  • Revenue and earnings: Q3 revenue fell 13.0% year over year; net income fell 28.5%. For the first nine months, revenue declined 14.0% and net income declined 31.3%.
  • Q3 segments: Semiconductor Test revenue decreased 16.3% to $575.7 million, primarily on lower mobile tester sales. System Test rose 13.3% to $116.2 million. Industrial Automation declined 2.1% to $89.1 million, primarily due to currency movements. Wireless Test decreased 32.9% to $46.1 million.
  • Margins and costs: Q3 gross margin declined 1.4 percentage points, reflecting lower volume and product mix in Semiconductor Test and higher inventory reserves. Selling and administrative and engineering expenses increased year over year, while each represented a larger share of revenue.
  • Liquidity and debt: At October 2, cash and cash equivalents were $710.7 million and marketable securities totaled $176.3 million, or $887.1 million combined. Current assets were $2.13 billion and current liabilities $701.9 million. Convertible debt had a $64.8 million carrying value; the filing reports no revolver borrowings as of November 4. The revolving credit facility was increased from $400 million to $750 million on October 5, after quarter-end.
  • Cash use: Cash and cash equivalents decreased $411.5 million during the first nine months. Operating cash flow was $394.5 million; investing activities provided $45.4 million and financing activities used $858.8 million. Financing included $750 million of share repurchases, $52.6 million of dividends and $52.0 million of convertible-debt principal payments. Operating cash flow less capital expenditures was approximately $265.8 million.

Material changes, outlook and risks

  • Management cited weaker mobility and compute demand and slower technology transitions in parts of Semiconductor Test. Automotive and industrial test demand was expected to remain strong in 2022; 3-nanometer production from 2023, followed by gate-all-around and multichip packaging, were described as growth drivers. Management noted uncertainty about end-market recovery in 2023.
  • Supply constraints prevented approximately $10 million of Q3 test-business revenue from being shipped despite customer demand. The Q4 2022 forecast excluded approximately $15 million of revenue, primarily in test businesses, due to supply constraints. Component lead times and costs, wage inflation, and inventory risk from non-cancellable commitments were identified as concerns.
  • New U.S. export restrictions announced October 7, 2022 may restrict sales of semiconductor testers to certain China customers and affect China manufacturing and development operations. Teradyne had temporary authorization for those operations and planned to apply for a replacement license; ultimate impact and license timing were uncertain.
  • Approximately 70% of Industrial Automation revenue is denominated in foreign currencies. A stronger U.S. dollar weighed on Q3 results and could further affect Q4 revenue growth. The test-equipment market is concentrated among a limited number of significant customers.
  • Management said cash, securities and anticipated operating cash flows should be sufficient for working capital and other liquidity needs for at least 12 months. No broad numerical revenue or earnings guidance is provided in the filing text.
  • Unusual items included the $26.7 million March 2022 settlement of the AutoGuide earn-out arbitration, with a $14.7 million charge recorded in the first nine months; Teradyne said no earn-out obligations remained. Q3 also included $1.2 million of severance and $0.7 million of increased legal liabilities. The nine-month effective tax rate rose to 15.8% from 12.7%.
  • Other exposures include COVID-19 disruption, trade restrictions, foreign-exchange movements, ordinary-course legal claims and $887.1 million of component and material purchase commitments, of which $808.3 million were due within one year. Teradyne said pending legal claims were not expected to have a material adverse effect, while noting outcomes and potential loss ranges could not be determined.

Important facts for investors to verify

  • Whether Semiconductor Test demand and customer orders stabilize, particularly in mobile and high-performance compute, and how segment performance develops.
  • Whether supply constraints ease, the disclosed Q4 revenue shortfall estimate changes, and inventory, prepayments and purchase commitments convert into shipments and cash.
  • The actual effect of China export rules, customer licenses and the license needed for Teradyne’s China manufacturing and development operations.
  • Cash generation and liquidity after substantial repurchases, dividends and debt settlements; confirm revolver availability and covenant compliance.
  • Currency impacts on Industrial Automation and the effect of inventory reserves and component-cost inflation on margins.
