Gentherm Incorporated (THRM) — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; filed February 21, 2024. This is an annual report, not a standalone fourth-quarter earnings report. Gentherm develops automotive thermal and pneumatic comfort products and medical patient temperature-management systems. Automotive accounted for approximately 97% of product revenue.
Financial performance
| Metric | FY2023 | FY2022 |
|---|---|---|
| Product revenue | $1,469.1 million | $1,204.7 million |
| Gross margin | $351.6 million; 23.9% | $273.7 million; 22.7% |
| Operating income | $77.4 million; approximately 5.3% of revenue | $48.3 million; approximately 4.0% |

| Cash from operations | $119.3 million | $14.9 million |
| Cash and equivalents at year-end | $149.7 million | $153.9 million |
| Total debt | $222.8 million | $235.1 million |
Revenue rose 21.9%, reflecting higher automotive volumes, the inclusion of Alfmeier and Dacheng, and favorable currency effects, partly offset by lower customer cost recoveries and some unfavorable currency movements. Gross margin improved despite inflation and acquired-business costs. Net interest expense increased to $14.6 million from $4.3 million, primarily due to higher rates and debt balances. The effective tax rate was 26.6%, versus 36.3% in 2022.
Automotive revenue grew 22.5% to $1,423.0 million; Medical revenue rose 7.2% to $46.1 million. Automotive operating income was $186.0 million, while Medical recorded an operating loss of $22.2 million and Corporate expenses were $86.3 million. Medical results included a $19.5 million goodwill impairment following slower-than-forecast revenue growth. The company also recorded a $6.1 million non-cash inventory write-down related to its exit from non-automotive electronics.
Operating cash flow increased substantially year over year. Investing activities used $24.1 million, compared with $239.9 million in 2022, when acquisition payments were $205.5 million. Financing activities used $106.1 million, including $91.1 million of cash paid for share repurchases and $72.3 million of debt repayments, partly offset by $60.0 million of borrowings. Capital expenditures were $37.6 million.
Liquidity, debt and capital allocation
At year-end, Gentherm reported $149.7 million of cash and $278.0 million available under its $500 million revolving credit facility, subject to conditions. The facility matures June 10, 2027; the revolver balance was $222.0 million at a 6.58% interest rate. The company was in compliance with its credit agreement covenants. Management believes cash, operating cash flow, factoring arrangements and available borrowing capacity will cover anticipated needs for at least the next 12 months.
Management expects FY2024 capital expenditures of approximately $65 million to $75 million, primarily for capacity expansion and new plants. The company repurchased $92.5 million of shares during 2023; $37.5 million of authorization remained at year-end. Its $60 million accelerated share repurchase was subject to final share settlement by the second quarter of 2024. The company reported no history of cash dividends and does not expect to pay them in the foreseeable future.
Material changes and outlook
- Key-market light-vehicle production increased 11.4% in 2023. S&P Global Mobility forecast a 0.5% decline in those markets in 2024; this is an industry forecast, not company revenue guidance.
- Gentherm secured an estimated $2.63 billion in 2023 automotive new-business awards, a company record. These are projected lifetime revenues based on customer assumptions, not firm orders or a forecast of recognized revenue.
- Fit-for-Growth 2.0, launched in 2023, targets sourcing, engineering, manufacturing productivity, footprint optimization, product profitability, Alfmeier synergies and operating-expense efficiency. Management has not provided a quantified total savings target in the text provided.
- A Greenville, South Carolina-to-Monterrey, Mexico manufacturing relocation is expected to cost $12 million to $16 million, including $11 million to $15 million in cash expenditures, and generate annual benefits of $5 million to $6 million. Completion is expected by the end of 2025; actual costs, timing and savings may differ.
- WellSense was introduced in January 2024. ClimateSense launched on the 2024 Cadillac CELESTIQ, with another vehicle program expected to launch in 2025.
Key risks, contingencies and unusual items
- Automotive cyclicality, changes in vehicle production and EV adoption, customer pricing pressure, inflation, supply-chain and logistics disruptions, labor actions, foreign exchange and geopolitical conflicts could affect sales, margins and cash flow. Ukraine operations generated approximately 6% of 2023 revenue; the facility was operating normally, but the ongoing conflict presents disruption risks.
- Customer and channel concentration is material: Lear and Adient represented 15% and 13% of 2023 product revenue, respectively. Lear has expressed an intent to expand insourcing and acquired competitors; the future effect on Gentherm is uncertain.
- The Medical reporting unit remains sensitive to assumptions. Its estimated fair value exceeded carrying value by less than 15% at year-end; forecasts assume approximately 18.3% annual revenue growth from 2024 through 2028. Lower growth, weaker margins or higher discount rates could cause another impairment.
- The 2023 restructuring plan, acquisitions, new product launches, warranty or recall claims, regulatory obligations, cybersecurity threats and potential further impairments could create additional costs. The filing reports no material pending litigation and no cybersecurity incident in 2023 that materially affected the company.
- The company reported $125.3 million of cash held by non-U.S. subsidiaries. Repatriation may involve withholding taxes or be affected by regulatory and geopolitical changes. A hypothetical 100-basis-point interest-rate change would affect annual interest expense by approximately $2.2 million, based on year-end debt.
Important facts for investors to verify
- Whether automotive volume, product mix and customer forecasts support the expected revenue and margins, particularly given the 2024 production outlook.
- Whether the Medical segment achieves the revenue growth and margin assumptions underpinning its goodwill valuation.
- How much of the $2.63 billion in new-business awards converts to awarded programs, launches and realized revenue, and on what schedule.
- Actual Fit-for-Growth 2.0 and Monterrey relocation costs, timing, cash requirements and realized annual savings.
- Debt, interest expense, covenant headroom, working-capital trends and the use of factoring; operating cash flow improved sharply, but reported cash declined slightly.
- Final settlement of the $60 million accelerated share repurchase and the remaining repurchase authorization, alongside planned 2024 capital expenditures.
Audit and controls: Ernst & Young issued unqualified opinions on the consolidated financial statements and internal control over financial reporting. The auditor identified goodwill valuation as a critical audit matter.
