  • Q2 revenue grew 29.4%; management attributed growth to recent acquisitions and 12.1% same-store sales growth. For the first half, revenue rose 26.6%, including 8.2% same-store sales growth.
  • Q2 gross margin edged up to 20.8%, mainly from a greater contribution from higher-margin parts. First-half margin improved 0.8 percentage points. Q2 equipment margin was 13.6%, versus 13.7% a year earlier; the prior-year quarter included a $2.6 million manufacturer-incentive benefit.
  • Q2 operating expenses rose 28.9% to $88.8 million, largely reflecting acquisitions and sales-related variable costs. Operating expenses were 13.8% of revenue, down from 13.9%. Q2 floorplan interest expense increased to $2.5 million from $0.2 million.
  • At July 31, cash was $52.8 million; current assets were $1,165.5 million and current liabilities $778.0 million. Inventories were $979.4 million, up from $703.9 million at January 31. Management reported equipment inventory turnover of 2.7x for the trailing 12 months, down from 3.6x a year earlier.
  • Floorplan payable was $595.7 million, up from $258.4 million at January 31; long-term debt, including current maturities, was $98.2 million. Floorplan rates were variable and interest-bearing U.S. balances carried rates of 6.72%–11.00%. Management estimated a one-percentage-point rate increase would reduce next-12-month pre-tax earnings and cash flow by about $2.4 million.
  • Six-month investing cash outflow was $50.7 million, including $27.9 million of acquisition consideration and $25.3 million of non-rental property and equipment purchases. Financing provided $181.8 million, primarily from higher non-manufacturer floorplan borrowing. Cash increased $8.9 million to $52.8 million.

Material changes, outlook and risks

  • Recent acquisitions included Pioneer Farm Equipment, MAREP and Midwest Truck; the prior-year comparison also reflects the Heartland Companies acquisition. Management reported higher sales across all segments, with Agriculture the largest contributor. International Q2 pre-tax income declined 5.1% to $5.6 million, despite higher segment revenue.
  • Management said availability remains constrained for some equipment, particularly high-horsepower tractors and self-propelled sprayers, while demand remains strong. It cited a USDA estimate that 2023 U.S. net farm income would decline approximately 15.9% from 2022. The filing provides no specific earnings or revenue guidance; management expects available cash, operating cash flow and borrowing capacity to meet liquidity needs for at least 12 months.
  • On August 29, 2023, Titan agreed to acquire Australian dealer O’Connors for an estimated $63 million, subject to adjustments, with closing planned for the fourth quarter of calendar 2023. O’Connors reported approximately $258 million of revenue in its latest fiscal year. A September 1 credit amendment increased Bank Syndicate floorplan capacity from $185 million to $250 million and revolving capacity from $65 million to $75 million, and permitted the pending acquisition.
  • Ukraine remains a risk: Ukrainian subsidiary revenue decreased 13.6% for the first half, and the company reported $33.5 million of Ukrainian assets at July 31. Management cited potential conflict-related effects on operations, liquidity, supply chains, utilities, commodity exports and currency controls. Equipment supply constraints, dependence on CNH Industrial, agricultural and construction market conditions, interest rates, and acquisition execution and integration are additional risks.
  • Management reported compliance with applicable credit covenants at July 31 and effective disclosure controls. It said ordinary-course legal matters were not expected to materially affect the company; no material litigation was reported. The ERP system conversion is continuing through a phased rollout.

Important facts for investors to verify

  • Whether inventory growth converts into sales and operating cash flow, given the $122.7 million first-half operating cash outflow and lower inventory turnover.
  • Floorplan borrowing, interest-bearing inventory levels, borrowing capacity and covenant compliance, particularly after the credit amendment and planned O’Connors funding.
  • O’Connors purchase price, closing, financing, integration costs and realized contribution; the transaction remains pending.
  • Equipment availability, demand trends and farm-income conditions, including the effect on sales volumes and margins.
  • Developments in Ukraine and the effects on subsidiary revenue, assets, operations and liquidity.
