Tilray Brands, Inc. annual report, FY2022

Tilray Brands, Inc. — FY2022 Form 10-K

Reporting period: Fiscal year ended May 31, 2022; filed July 28, 2022. Although the request metadata says “2021 Q4,” this filing reports a full fiscal year, not a quarter. Amounts below are U.S. dollars unless stated otherwise. Tilray’s April 2021 combination with Aphria was accounted for as a reverse acquisition, so FY2021 includes legacy Tilray results only from April 30, 2021; year-over-year comparisons are therefore not fully like-for-like.

Business context and financial results

Tilray operates across cannabis, pharmaceutical distribution, beverage alcohol, and hemp-based wellness products, with business in North America, Europe, and other international markets. Its FY2022 included a full year of legacy Tilray and Manitoba Harvest operations, plus the December 2021 acquisition of Breckenridge Distillery.

MetricFY2022FY2021
Net revenue, after excise taxes$628.4 million$513.1 million
Gross profit / gross margin$116.8 million / 18.6%$123.2 million / 24.0%
Operating loss$(610.4) million$(132.2) million
Net loss / loss per share$(434.1) million / $(0.90)$(336.0) million / $(1.25)
Adjusted EBITDA, non-GAAP$48.0 million$40.8 million
Cash used in operating activities$(177.3) million$(44.7) million
Cash and cash equivalents at year-end$415.9 million$488.5 million
Working capital at year-end$523.2 million$482.4 million

Revenue increased 22%, but gross profit fell 5% as cost of goods sold rose 31%. Cash from operations deteriorated substantially. Adjusted EBITDA is a company-defined non-GAAP measure and should not be treated as a substitute for GAAP earnings or cash flow.

Revenue mix and material changes

  • Cannabis net revenue rose 18% to $237.5 million. International cannabis revenue increased to $53.9 million from $9.3 million, partly because FY2022 included a full year of legacy Tilray operations. Canadian adult-use revenue declined 6% to $209.5 million amid price competition and reduced market share; management reported 11.7% market share.
  • Distribution revenue fell 6% to $259.7 million, although management said it would have increased 4% at constant currency. A weaker euro reduced reported revenue, and flooding caused an approximately five-day CC Pharma closure and nearly $5 million of lost revenue.
  • Beverage alcohol net revenue increased to $71.5 million from $28.6 million, reflecting the full-year contribution of SweetWater and the acquisition of Breckenridge. Wellness revenue increased to $59.6 million from $5.8 million, largely because FY2021 included only one month of Manitoba Harvest.
  • Reported cannabis gross margin declined to 18% from 35%, including cannabis inventory write-downs of $59.5 million versus $19.9 million. Excluding inventory adjustments, cannabis margin was 43% versus 45%. Distribution margin fell to 6% from 13%, including a $7.5 million inventory write-down; adjusted distribution margin was 9% versus 13%.

Balance sheet, debt, and liquidity

At May 31, 2022, current assets were $803.5 million and current liabilities were $280.3 million. Balance-sheet obligations included $185.7 million of long-term debt, net of financing fees; $401.9 million of convertible debentures; and $18.1 million of bank indebtedness. Cash declined by $72.6 million during the year. Management stated it expected existing cash and other resources to support needs for the next 12 months, while noting that additional capital could be needed for U.S. growth ambitions or international expansion. Scheduled long-term debt and convertible-note principal and interest commitments totaled approximately $676.2 million, with substantial amounts due in FY2024 and FY2025.

Outlook, commentary, risks, and unusual items

  • Synergies: Tilray reported $85 million of run-rate savings and $60 million of actual cash savings from integrating Tilray and Aphria. It identified a further $15 million, for $100 million of total identified synergies, expected by May 31, 2023. These are management targets, not guaranteed results.
  • HEXO, subsequent event: The July 12, 2022 transaction followed the reporting year. Tilray acquired a secured convertible note for $155 million, partly funded with a $50 million Tilray convertible note and approximately 33.3 million Tilray shares. The companies targeted $80 million of combined savings over two years, to be shared equally. Tilray said conversion could represent approximately 48% of HEXO’s outstanding common stock on a non-diluted basis.
  • Impairment: FY2022 operating expenses included $378.2 million of impairment charges, primarily related to goodwill and intangible assets. Management cited changes in market opportunities and strategic priorities, higher borrowing rates, and currency movements. Its estimates were particularly sensitive to discount-rate and growth assumptions.
  • Other unusual items: The company recorded $67.0 million of inventory write-downs, a $44.7 million gain from reducing SweetWater contingent consideration, and $227.6 million of non-operating fair-value gains on convertible debentures and warrants. Those fair-value changes helped reduce the reported net loss but are not measures of operating performance.
  • Principal risks: Cannabis regulation, licensing and legalization uncertainty; illicit-market and licensed-competitor price pressure; reliance on provincial cannabis purchasing; execution and return risks from acquisitions and strategic investments; product recalls and litigation; foreign-exchange exposure; and ongoing operating cash outflows. The company also identified risks from inflation, supply-chain costs, COVID-19 effects, and market volatility.
  • Litigation: A July 2022 agreement in principle proposed a $26.9 million payment to Tilray to resolve a derivative action related to the prior Privateer reorganization. The settlement remained subject to final agreements and court approval. Other securities, shareholder, product-labeling, and contractual matters were pending; management said outcomes could not be assured.
  • No formal financial guidance: The filing does not provide clear numerical revenue or earnings guidance. Management’s outlook emphasizes market growth, international medical cannabis, cost controls, and anticipated legalization opportunities.
