Business context and reporting period
This is BCTG Acquisition Corp.’s unaudited Form 10-Q for the quarter ended June 30, 2021, not an operating-company filing for Tango Therapeutics. BCTG was a blank-check company with no operating revenue; it was pursuing a merger with Tango, a precision-cancer-medicines biotechnology company. The proposed transaction would rename BCTG “Tango Therapeutics, Inc.”
Financial results and position
- Revenue: None. BCTG reported no operating revenue.
- Net loss: $764,601 for the three months ended June 30, 2021 and $1,004,355 for the six months. Quarterly expenses were principally general and administrative costs ($712,913), related-party administrative costs ($30,000), and franchise tax ($27,322), partly offset by $5,634 of trust-account investment income.
- Cash flow: Cash used in operating activities was $763,660 for the six months. Cash was $582,938 at June 30, down from $1,314,085 at year-end 2020.
- Liquidity: Working capital was approximately $0.4 million, excluding about $36,000 of tax obligations. Trust-account investments totaled $166.8 million; these funds were principally reserved for a business combination or shareholder redemptions.
- Debt and obligations: No working-capital loans were outstanding. Total liabilities were $6.2 million, including $5.8 million of deferred underwriting commissions payable only if a business combination closes. BCTG reported stockholders’ equity of $5.0 million.
- Margins: Not meaningful because BCTG had no operating revenue.
Changes versus prior period
Cash decreased by about $731,000 from December 31, 2020, while current liabilities increased from $114,354 to $355,208, mainly reflecting accrued expenses and accounts payable. The six-month net loss was $1.0 million; the filing’s comparative 2020 results cover only May 21, 2020 (inception) through June 30, 2020 and are not a comparable six-month period. BCTG’s $166.8 million trust balance was essentially unchanged from year-end.
Transaction, outlook, and risks
- Under the April 13, 2021 merger agreement, Tango shareholders were to receive aggregate consideration of $550 million in BCTG shares, valued at $10 per share. Separately, BCTG had subscription agreements for a $186.1 million private placement at $10 per share.
- Closing conditions included stockholder approval, at least $5,000,001 in net tangible assets after redemptions, at least $300 million in proceeds net of BCTG expenses subject to shortfall provisions, regulatory clearance, and listing requirements. The filing described a special meeting scheduled for August 9, 2021; the merger agreement could be terminated if the deal had not closed by September 30, 2021.
- BCTG’s business-combination deadline was September 8, 2022, unless shareholders approved an extension. If no transaction closed by that deadline, BCTG generally would have to redeem public shares and liquidate.
- Management said available working capital and borrowing capacity should be sufficient through the earlier of a business-combination closing or one year from the filing. However, sponsor or insider funding was not assured, and the merger agreement restricted working-capital loans.
- The company said COVID-19 could adversely affect its financial position, operations, or transaction efforts, but the impact could not be determined. It reported no legal proceedings and no off-balance-sheet arrangements.
Important facts for investors to verify
- Confirm whether the merger and PIPE closed, the final proceeds, and the post-closing ownership and share count.
- Check public-share redemptions and whether the minimum cash and net-tangible-asset conditions were satisfied.
- Review Tango’s separate operating-company filings for revenue, research and development spending, clinical progress, cash runway, and financing needs; these are not reported in this BCTG 10-Q.
- Note the filing states BCTG answered “No” to the cover-page question about whether it had filed all required reports during the preceding 12 months.
