Financial results and liquidity

MetricFY2022FY2021
RevenueNo product revenue reportedNo product revenue reported
Research and development expense$66.6 million$35.9 million
General and administrative expense$30.6 million$15.2 million
Total operating expenses$97.2 million$51.1 million
Net loss$94.6 million$51.2 million
Net loss per share, basic and diluted$3.02$8.16
Net cash used in operating activities$93.8 million$50.9 million

Losses widened as research and development spending rose, principally from increased ENTR-601-44 and ENTR-701 program costs, higher staffing, and expanded facilities and public-company expenses. The per-share loss comparison is affected by the substantially higher weighted-average share count in 2022 following the 2021 IPO. Operating margins are not meaningful given the absence of revenue.

At December 31, 2022, cash and cash equivalents were $45.2 million and marketable securities were $143.6 million, or $188.7 million combined. The company reported no debt. Cash, cash equivalents and restricted cash totaled $49.1 million; restricted cash of $4.0 million secured a facility lease letter of credit. Stockholders’ equity was $212.6 million, and accumulated deficit was $188.3 million. Marketable securities had $2.1 million of unrealized losses, which the company characterized as temporary; no credit losses were recorded.

Management said the year-end liquid resources, together with the Vertex transaction proceeds, research support and anticipated near-term milestones, were expected to fund operations into the second half of 2025. This estimate depends on assumptions and is not guaranteed. The company reported a $400 million universal shelf registration, with no securities issued under it as of the filing.

Material changes and significant developments

  • R&D expense increased $30.7 million year over year; G&A expense increased $15.4 million. Operating cash use increased $42.9 million.
  • In December 2022, Entrada entered a collaboration and license agreement with Vertex for ENTR-701 and potential additional DM1 candidates. The agreement closed February 8, 2023, after year-end. Entrada received $223.7 million upfront and Vertex invested $26.3 million in Entrada shares at $16.26 per share, for $250 million in total consideration. Entrada is also eligible for up to $485 million in milestones and tiered mid- to high-single-digit royalties. Vertex assumes global development, manufacturing and commercialization responsibilities; Entrada conducts specified research under a four-year collaboration.
  • The Vertex closing and proceeds occurred after the balance-sheet date and were not included in December 31, 2022 cash balances. The company expected revenue from the arrangement to begin in Q1 2023.
  • FDA granted orphan drug designation to ENTR-601-44 in December 2022, but placed its IND on clinical hold later that month, requesting additional information. Entrada was working to address the hold and exploring options to start a healthy-volunteer trial in 2023, subject to regulatory and other requirements.
  • In January 2023, Entrada announced selection of ENTR-601-45 and planned an IND submission in Q4 2024. These are forward-looking plans, not completed milestones.

Outlook, risks and unusual items

Management expects continued operating losses and negative operating cash flows as it advances preclinical programs and prepares for clinical development. The company has no approved products and has never conducted a clinical trial. The EEV platform and candidates are unproven in humans, and preclinical findings may not predict clinical safety or efficacy. The ENTR-601-44 clinical hold and the timing or acceptability of Entrada’s response are key near-term uncertainties.

Other material risks include dependence on third-party research and manufacturing providers; manufacturing scale-up, supply and quality challenges; competition; recruiting and retaining personnel; intellectual-property protection; the need for future financing; and the possibility that collaborations or milestone payments do not materialize. The company also reported substantial new facilities commitments: an approximately 81,442-square-foot Boston lease with an approximately 10-year term once commenced, alongside its existing facility lease. In January 2023 it amended the existing lease; monthly fixed rent was approximately $0.8 million through November 2023 and $0.5 million thereafter. A sublease was expected to offset part of the new space’s rent.

The financial statements received an unqualified audit opinion from Ernst & Young LLP. Management concluded disclosure controls and internal control over financial reporting were effective at year-end; the auditor did not attest to internal controls because of the company’s emerging-growth-company exemption.

Investor verification checklist

  • Confirm the status and terms of the ENTR-601-44 clinical hold, including whether it has been lifted and what the FDA requires before a trial may begin.
  • Verify actual cash received, revenue recognition and research funding under the Vertex agreement, and distinguish achieved milestone payments from potential milestones and royalties.
  • Track cash burn against the stated second-half-2025 runway estimate, including whether planned milestones and other assumed funding have occurred.
  • Assess progress toward the ENTR-601-45 IND target and whether manufacturing and preclinical work support the stated timeline.
  • Review facility lease commencement, total obligations, sublease receipts and any effects on future cash needs.
  • Compare future human clinical evidence with the company’s preclinical claims; no clinical efficacy or safety results were available in this filing.
