Cash flow, liquidity and portfolio

  • Operating activities used $81.4 million, reflecting $240.7 million of investment purchases, partly offset by $148.5 million of investment sales and paydowns. Financing activities provided $88.6 million; cash increased $7.2 million during the quarter.
  • Available borrowing capacity under the KeyBank facility was approximately $160 million. The facility had $190 million outstanding and a $400 million borrowing limit; it bears interest at Adjusted Term SOFR plus 2.85%, subject to facility terms.
  • Debt principal included $182.5 million of 2025 Notes, $125 million of August 2026 Notes, $75 million of December 2026 Notes, $115 million of March 2029 Notes, and $50 million of convertible notes, in addition to the KeyBank facility.
  • At fair value, the portfolio consisted primarily of secured loans ($1,010.8 million) and equipment financings ($277.6 million), plus warrants and equity. Approximately 98.6% of investments were Level 3, relying on significant unobservable valuation inputs.
  • Four portfolio-company loans and one equipment financing were on non-accrual, with $30.4 million fair value, or 2.4% of debt investments, versus 3.5% at year-end. The Default/Workout risk-rating category was 0.4% of debt investments, down from 2.7%.

Material changes and comparison

  • Investment income rose about 21.5% year over year, reflecting a larger income-producing debt portfolio and higher stated rates. NII increased about 30%, while diluted NII per share was unchanged at $0.52.
  • Operating expenses including excise tax rose about 14%. Interest and financing costs increased to $12.1 million from $11.1 million; compensation rose to $9.9 million from $7.6 million.
  • Despite higher NII, operations-generated net assets fell year over year as unrealized investment depreciation replaced the prior-year appreciation. NAV per share also declined from year-end, while total net assets rose.
  • The portfolio expanded in fair value and company count. Secured loans increased as a share of portfolio fair value to 74.1% from 69.5%; equipment financing declined to 20.4% from 26.4%.
  • The company issued $115 million of 7.875% notes due 2029 in March. It also raised $24.2 million net through ATM common-stock sales during the quarter.

Outlook, distributions and risks

  • The filing provides no specific earnings, investment, or distribution guidance. Management says cash, together with available KeyBank borrowings, is expected to support investing and operations in the near and long term; actual investment activity may vary with market conditions and financing demand.
  • The Board declared a quarterly distribution of $0.51 per share, payable April 15, 2024. Future distributions are discretionary and depend on earnings, financial condition, RIC status, and other factors.
  • After quarter-end, the company gave notice that it would redeem $30 million of the 2025 Notes on May 17, 2024, at par plus accrued interest. The remaining principal before redemption was $182.5 million.
  • Key risks include credit deterioration among growth-stage borrowers, uncertain fair values for illiquid Level 3 investments, leverage and refinancing needs, and rate sensitivity. The filing estimates annualized net income sensitivity of positive $7.6 million for a 100-basis-point rate increase and negative $5.5 million for a 100-basis-point decrease, assuming no structural changes.
  • Non-qualifying assets were 10.8% of total assets; BDC rules generally require at least 70% qualifying assets at the time of acquiring additional non-qualifying assets. No material litigation or material risk-factor changes were reported. Management reported disclosure controls were effective and no material change in internal control over financial reporting.

Important facts for investors to verify

  • Whether the $12.0 million unrealized depreciation, especially the $12.4 million depreciation in debt investments, signals borrower-specific credit deterioration or valuation changes; most portfolio valuations use Level 3 inputs.
  • The performance, collection prospects and collateral supporting the five non-accrual exposures, including why non-accrual fair value declined while the count and aggregate cost changed.
  • How the March 2029 Notes issuance and planned $30 million 2025 Notes redemption affect interest expense, refinancing risk, and liquidity.
  • Whether NII and cash receipts support the $0.51 quarterly distribution, noting that Q1 included $4.1 million of PIK interest, which is accrued rather than currently paid in cash.
  • Share dilution and per-share performance: shares outstanding increased to 48.6 million from 46.3 million at year-end, principally reflecting ATM issuance and restricted-stock awards.
