Material changes and management commentary
- Q2 AUM fell $13.1 billion, reflecting $17.8 billion in lower market valuations and income, partly offset by $4.7 billion of net inflows. U.S. sponsored mutual funds had $6.3 billion in net inflows; other portfolios had $1.6 billion in net outflows, primarily from non-U.S. institutional investors.
- First-half AUM increased $52.2 billion, including $17.1 billion of net inflows and $35.1 billion from market valuation changes and income.
- Management attributed higher compensation costs to salary and staffing increases, variable compensation accruals, and stock-based compensation. Facility, technology, and related costs also increased as the firm expanded capabilities. Management said these investments contributed to lower operating margins.
- Money market advisory fee waivers were $7.8 million in Q2 and $16.6 million in the first half. Management expected waivers to continue through 2012 to maintain positive yields for fund investors.
- Management estimated a full-year 2012 effective tax rate of about 38.4% and full-year property and equipment expenditures of about $100 million, to be funded from cash. Advertising spending in the second half was expected to be similar to 2011 levels.
Outlook, risks, and unusual items
Management provided no specific earnings or revenue guidance. Results remain exposed to financial-market movements, investor flows, relative investment performance, fee levels, competition, and changes in AUM. Other identified risks include higher operating and compliance costs, service or technology disruptions, foreign exchange movements, and changes in laws and regulation.
The filing highlights regulatory uncertainty, including potential Volcker Rule implications for the savings bank affiliate and the ability to seed funds; possible designation of funds or affiliates as systemically important; potential money market fund reforms; and evolving rules for derivatives, distribution, municipal advisers, and overseas operations. Management said pending ordinary-course claims are unlikely to have a material adverse effect. Q2 non-operating investment income included $2.5 million of realized gains from sales of two sponsored fund investments, partly offset by foreign exchange losses.
