TRIMAS CORP annual report, FY2012

TriMas Corporation 2012 Form 10-K Summary

Business Context and Reporting Period

TriMas Corporation is a diversified global manufacturer and distributor serving commercial, industrial and consumer markets. Its six reportable segments are Packaging, Energy, Aerospace & Defense, Engineered Components, Cequent Asia Pacific and Cequent Americas. This Form 10-K covers the fiscal year ended December 31, 2012. The filing is annual rather than a standalone quarterly filing, although fourth-quarter results are included in the supplementary data.

TriMas employed approximately 5,500 people at year-end, with approximately 24% unionized and 50% located outside the United States. Approximately 18.3% of 2012 net sales came from subsidiaries outside the United States, and approximately $139.7 million was generated from U.S. export sales.

Interest expense declined to $35.8 million from $44.5 million because of lower borrowing rates following the refinancing and retirement of higher-cost senior notes. However, TriMas recorded $46.8 million of debt extinguishment costs in 2012. The effective tax rate declined to 14.1% from 36.3%, aided primarily by international restructuring-related tax benefits, the expiration of an uncertain tax position and tax holidays.

Year-end inventories increased to $238.0 million from $178.0 million, and days of inventory increased to approximately 98 from 89. Management attributed the increase to higher sales, acquisitions, opportunistic market-share investments and preparation for the Goshen facility transition. Receivable days improved to 46 from 48.

The company had $230.5 million of borrowing capacity available for general corporate purposes after giving effect to facility restrictions. No amounts were outstanding under the revolving credit facility, while $18.0 million was outstanding under the accounts receivable facility and $51.9 million was available but unused.

Segment Results

Cequent Americas$400.4 million$27.4 million$383.7 million$32.7 million

Sales increased in five of six segments, with Aerospace & Defense essentially flat. Packaging benefited substantially from the Arminak and Innovative Molding acquisitions. Energy benefited from market-share gains, new branches and the CIFAL acquisition. Engineered Components benefited from oil and gas activity, new products and market-share gains in cylinders. Cequent Asia Pacific benefited from Thailand growth and the Trail Com and BTM acquisitions.

Profitability declined in most segments because of acquisition-related costs, purchase-accounting adjustments, unfavorable product mix, facility relocations and start-up inefficiencies. Aerospace & Defense was the exception, with operating profit increasing because of stronger aerospace sales and a favorable mix toward higher-margin aerospace products.

Material Changes Versus the Prior Comparable Period

  • Net sales rose 17.4%, including approximately $108.3 million attributable to recent acquisitions and approximately $5.3 million of unfavorable foreign-currency effects.
  • Gross and operating margins contracted as growth investments, acquisition integration costs, lower-margin acquired businesses, commodity inflation and manufacturing footprint projects offset productivity savings.
  • Cash flow from operations declined primarily because of a $48.0 million inventory investment and unfavorable changes in accounts payable and accrued liabilities.
  • TriMas issued 4.0 million common shares for net proceeds of approximately $79.0 million. Approximately $54.9 million was used to redeem $50.0 million of senior secured notes.
  • The company refinanced its domestic debt, retired the remaining $200.0 million of 9.75% senior notes, reduced interest-rate spreads, extended maturities and increased liquidity.
  • TriMas completed seven bolt-on acquisitions during 2012, including Arminak, CIFAL, Trail Com and Engetran. Arminak contributed approximately $65.9 million of 2012 sales and was reported as a 70%-owned subsidiary.
  • Fourth-quarter net loss attributable to TriMas was $13.9 million, primarily reflecting the effects of the debt refinancing and related extinguishment costs.

Debt, Commitments and Liquidity Risks

The amended credit agreement includes a $250.0 million senior secured revolving facility, a $200.0 million term loan A due in 2017 and a $200.0 million term loan B due in 2019. The actual leverage ratio was 2.30x against a 3.50x covenant limit, and the actual interest coverage ratio was 5.68x against a 3.00x requirement. TriMas was in compliance with its covenants at December 31, 2012.

Approximately 77% of the current principal amount of variable-rate debt was scheduled to be fixed through interest-rate swaps beginning in February 2013 and February 2015. Nevertheless, a 1% increase in applicable interest rates would have increased annual interest expense by approximately $2.4 million based on year-end variable-rate borrowings.

Total contractual cash obligations were $669.7 million, including $422.4 million of debt, $154.6 million of lease obligations, $18.9 million of benefit obligations and $73.8 million of estimated interest obligations.

Guidance, Outlook, Management Commentary and Unusual Items

Management described 2012 as a year of continued market-share gains, acquisitions, geographic expansion, new product introductions and economic recovery in certain markets. Its stated priorities are to fund growth through productivity initiatives, expand products and international presence, grow earnings faster than revenue, reduce leverage and increase liquidity.

Management expects Packaging and Energy margins to moderate toward historical levels as acquisitions and new branches are integrated and productivity and volume efficiencies are realized. It expects Cequent margins to improve after manufacturing facilities become fully operational. The filing does not provide specific 2013 revenue or earnings guidance.
