Material changes and business developments
- R&D expense rose $8.2 million year over year, primarily reflecting a $7.6 million increase in GMP batch activities for TSHA-102 and higher clinical-trial activity. G&A fell $1.7 million, mainly due to lower compensation, consulting and professional fees.
- Q1 revenue came from Astellas-funded Rett research and development activities. It declined $1.3 million year over year. Deferred revenue was $14.7 million at March 31, 2024, down from $18.1 million at year-end.
- The lead program, TSHA-102 for Rett syndrome, is being evaluated in Phase 1/2 adolescent/adult and pediatric trials. The IDMC authorized earlier escalation in the adolescent/adult study; the first high-dose cohort patient was enrolled, with dosing scheduled for Q2 2024. The second pediatric patient was dosed in Q1.
- The company reported no treatment-emergent serious adverse events through the disclosed follow-up for the first two adult patients. Management described clinical observations and early efficacy measures for these patients; the filing presents these as preliminary clinical findings, not established treatment effects.
- Astellas declined its option for TSHA-120 in GAN in September 2023; the option-related revenue was recognized then. Astellas’ Rett option remains outstanding. Taysha has deprioritized several other company-sponsored programs and is seeking external strategic options for them.
Outlook, liquidity, and risks
- Management expects to provide an update on available low-dose cohort 1 data for the adolescent/adult trial and initial cohort 1 pediatric data in mid-2024. Initial high-dose cohort 2 data for both trials are expected in the second half of 2024.
- The company says cash and cash equivalents of $124.0 million should fund planned operations for at least 12 months from issuance of the financial statements; elsewhere, management estimates existing cash will fund operating expenses and capital requirements into 2026. These are estimates based on assumptions that could change.
- Taysha expects continued significant losses and says it will need additional capital to fund development, manufacturing and other operations. Financing may come from equity, debt, collaborations, strategic alliances or licensing; availability and terms are uncertain.
- The $40.0 million Trinity term loan bears interest at the greater of prime plus 4.50% or 12.75%, is interest-only for 36 months (potentially extendable to 48 months subject to milestones), and matures November 13, 2028. It is secured by substantially all company assets, includes restrictive covenants, and has a 5% end-of-term payment. The company reported compliance with its covenants at quarter-end.
- Q1 included non-cash expenses from fair-value changes in the SSI warrant liability and Trinity loan. The loan is carried at fair value; valuation relies on significant unobservable inputs.
- Two putative stockholder derivative actions relating to the August 2023 private placement were disclosed. The company has not recorded a liability because it cannot reasonably estimate losses or assess the likelihood of an unfavorable outcome.
- Management stated disclosure controls were effective as of March 31, 2024 and reported no material changes in internal control over financial reporting during the quarter.
Important facts for investors to verify
- Trial progress, timing and completeness of the expected TSHA-102 data updates, and how regulators and the IDMC interpret the evolving safety and efficacy evidence.
- Cash-burn assumptions supporting the stated runway estimates, and whether additional financing will be needed earlier than management expects.
- The reported Q1 weighted-average basic and diluted share count of 231.2 million versus 187.0 million common shares issued and outstanding at March 31, 2024. The filing says nominal-exercise-price pre-funded warrants are included in EPS share calculations; investors should reconcile this presentation with the legal share count and dilution.
- Terms and valuation sensitivity of the Trinity loan and related obligations, including its interest rate, prepayment premiums, end-of-term fee and collateral/covenant restrictions.
- Potential financial and strategic consequences of the Astellas Rett option, the declined GAN option, program reprioritizations and the pending derivative litigation.
